Summary

Sika AG (Sika), through its wholly owned subsidiary Sika International AG, proposes to acquire LSF11 Skyscraper HoldCo S.à.r.l., the holding company of the MBCC group of companies (MBCC Group). In Australia, MBCC Group operates through its subsidiary, MB Solutions Australia Pty Ltd and Sika operates through its subsidiary, Sika Australia Pty Ltd.

Sika and MBCC Group overlap in the supply of a number of construction chemicals in Australia, including chemical admixtures, fibers and concrete works.

On 20 January 2023, the ACCC commenced market consultation on a draft undertaking.

On 20 April 2023, the ACCC decided to not oppose Sika’s proposed acquisition of MBCC Group, subject to the ACCC accepting a court-enforceable undertaking from Sika to divest:

  • MBCC’s Admixtures Systems business in Europe (including Switzerland), the UK, Canada, and the US, and
  • MBCC’s EBA and Construction Systems business of MBCC Group in Australia and New Zealand. This comprises all of MBCC Group’s business in Australia and New Zealand, including Bluey Technologies.

The ACCC will release a Public Competition Assessment in due course.
