The ACCC considered the impact of the proposed acquisition on competition in the acquisition of raw milk in the Gippsland region.

Competition analysis

The ACCC concluded that the proposed acquisition is unlikely to substantially lessen competition for the acquisition of raw milk in the Gippsland region.

The proposed acquisition would combine, due to partial common ownership, the raw milk processing facilities of Burra Foods Pty Ltd (Burra) and Lion Dairy & Drinks Pty Ltd (Lion D&D) in the Gippsland region.

The ACCC found that while Burra and Lion D&D compete for the acquisition of raw milk in the Gippsland region, they are not close competitors, with minimal switching between the two.

The level of aggregation from the proposed acquisition will be relatively low, with a combined Mengniu-Lion D&D acquiring less than 25 percent of raw milk in the Gippsland region.

The ACCC considered that a combined Mengniu-Lion D&D will continue to be constrained by Saputo and Fonterra, as well as a number of smaller raw milk processors.

The ACCC found that there is significant excess raw milk processing capacity during peak times in the Gippsland area, resulting in limited barriers to switching for dairy farmers.
