Target(s)

  • Allume Technology Partners Pty Limited

Summary

In 2008 Thomson Reuters acquired the Allume business, which was previously jointly owned by KPMG and Deloitte. Allume was a tax technology company which specialised in providng technology solutions in tax compliance and management.

Market definition

The ACCC considered the completed acquisition in the context of national markets for the supply of income tax compliance software and fringe benefits tax (FBT) compliance software.

Competition analysis

The ACCC's investigation indicated that post-acquisition, there remained two firms competing with the merged entity in each market. In particular, the ACCC found that Ernst & Young's tax compliance software business continued to pose a signficant competitive constraint on the merged entity.
Therefore, the ACCC concluded that the completed acquisition was unlikely to have resulted in a substantial lessening of competition in either of the relevant markets.
