Market definition

The ACCC considered the potential effect of the Proposed Acquisition on competition in Australia for:

  • the wholesale supply of:
    • frozen ready meals; and
    • chilled ready meals; and
  • the retail supply of:
    • frozen ready meals; and
    • chilled ready meals.

The ACCC found in its review of the Proposed Acquisition that frozen ready meals are appropriately viewed as a distinct product market to chilled ready meals and other ready-to-eat foods.

Competition analysis

Patties and Vesco are two of the major manufacturers and suppliers of ready meals in Australia. The ACCC considered that Patties and Vesco compete most closely in the supply of frozen ready meals, particularly in the ‘health and wellness’ segment of frozen ready meals.

The ACCC investigated the potential for the Proposed Acquisition to raise horizontal concerns, and specifically whether the merged entity would be able to significantly and sustainably increase its prices or profit margins in relation to the supply of frozen ready meals in Australia. The ACCC considered that the merged entity was likely to be competitively constrained by existing and new alternative suppliers of frozen ready meals, and that the Proposed Acquisition was unlikely to result in a substantial lessening of competition in the wholesale or retail supply of frozen ready meals in Australia. In the supply of ‘health and wellness’ frozen ready meals, the ACCC had regard to recent new entry, growth of new product categories and product innovations by competing suppliers.
