Market definition

The ACCC considered the impact of the proposed acquisition on the supply of third party advertising delivery services for television, print and radio advertising in Australia. The ACCC did not consider it necessary to determine if there are separate product markets for third party delivery services for television, print and radio advertisements, rather than one broad market for delivery of advertisements, as a substantial lessening of competition is unlikely regardless of the market definition adopted.

Competition analysis

The ACCC concluded that the proposed acquisition would be unlikely to result in a substantial lessening of competition in any relevant market/s.

The ACCC determined that, following the proposed acquisition, Adstream and Dubsat are likely to be constrained:

- for delivery of print advertisements, by the ability for most advertisers and advertising agencies to deliver directly to publishers, particularly through portals developed by major publishers including Fairfax and News Corp Australia and the threat of others, including magazine publishers, developing their own portals using readily available software. The ACCC took into account that the majority of print advertising is already delivered directly to publishers without using the services of Adstream or Dubsat and the declining nature of the print industry which is likely to encourage publishers to be more receptive to direct delivery methods.

- for delivery of television and radio advertisements, by the presence of other advertising delivery service providers, the threat of potential new entry including by large overseas players and the ability of advertisers on radio stations to deliver directly.

In reaching its conclusions, the ACCC also took into account the ability of advertisers to reach audiences outside of traditional media, including via digital platforms, which don't rely on the services of Adstream and Dubsat. The ACCC also took into account the dynamic nature of the industry where the options for direct delivery are likely to further improve with technological advancements.
