Summary

Market definition

The ACCC considered the proposed acquisition in the context of the local retail supermarket market.

The ACCC generally considers supermarket acquisitions on the basis of a local market of approximately 3-5km, although the boundaries in any particular matter may be larger or smaller than this and depend on local factors including roads and customer travel patterns. In this case the ACCC considered the competition effects of the transaction on the basis of several different possible geographic areas; 2 kilometres, 3 kilometres, and 6 kilometres by road from the proposed site.

The ACCC did not consider it necessary to reach a conclusion on the geographic market definition for this matter, as a substantial lessening of competition does not appear likely to arise in any of the above possible relevant markets.

On 22 October 2008, the ACCC formed the view that the proposed acquisition was unlikely to result in a substantial lessening of competition in any of the relevant markets. Factors informing this conclusion include the following:

The Counterfactual

In assessing a merger pursuant to section 50 of the Act, the ACCC must consider the effects of the transaction by comparing the likely future state of competition if the transaction proceeds (the 'with' or 'factual' position) to the likely future state of competition if the transaction does not proceed (the 'without' or 'counterfactual' position).

Post-acquisition, Woolworths would have 2 out of 3 supermarkets if the market were defined using a 3km radius, or 3 out of 5 supermarkets in a 6km market; this formed the 'with' position.

In determining the 'without' position, the ACCC investigated whether there was a real chance of an alternative supermarket operator occupying the proposed site in the absence of the proposed acquisition, acting as a competitive constraint on Woolworths and other supermarkets in the relevant local market.

The ACCC's investigation revealed that it was theoretically possible that an alternative supermarket operator would acquire the proposed supermarket site, but having examined submissions from market participants, the ACCC concluded that there was no evidence to suggest that this was a likely outcome.

Therefore, after considering all the information available to it, the ACCC considered the proposed acquisition according to the more likely counterfactual that without the acquisition the proposed site would be developed for an alternative purpose, not a supermarket.

Existing competitive constraints and barriers to entry

If the market were defined by a 2 kilometre radius from the proposed site, the ACCC considered that the proposed transaction would result in new entry by Woolworths into an area which currently has no full-line supermarkets.

In relation to the second and third possible markets examined (3 and 6 kilometres), while the proposed site's development would result in an increased presence for Woolworths, Woolworths would face the same competitors as would be the case without the proposed acquisition.
