Summary

United Petroleum Pty Ltd proposed to acquire the following petrol retail sites from Freedom Fuels Australia - Warragul, Morwell, Traralgon and Sale. The above four Freedom Fuels sites were each located in the Gippsland region of Victoria.

United Petroleum and Freedom Fuels both operated retail petrol sites in each of the above towns. United Petroleum is vertically integrated and imports petroleum products through its Western Port (Hastings) terminal located in Victoria.

Initially, seven other petrol retail sites in Kew, Mt Waverley, Churchill, Maffra, Newborough, Tyers and San Remo were included as part of this review. At the request of the merger parties, the ACCC made an earlier decision in relation to these sites on 6 December 2011. Market definition

The ACCC considered the proposed acquisition in the context of local retail markets for the supply of petrol (including ULP, PULP, E10), diesel and LPG in each of Warragul, Morwell, Traralgon and Sale.

Competition analysis

The ACCC formed the view that competition concerns were unlikely to arise in the local retail markets in each of Morwell, Traralgon and Sale due to the existence of a number of competitors to the merged firm in these local markets.

The ACCC considered that competition concerns were likely to arise in relation to the supply of petrol in the local market in Warragul. In reaching its conclusion, the ACCC had regard to the following key factors:

- the significant market concentration that would arise as a result of the proposed acquisition in Warragul; and
- the limited number of competitors that appeared likely to constrain the merged firm post-acquiistion.

To remedy the ACCC's concerns, United has withdrawn its proposal to acquire Freedom Fuel's petrol retail site in Warragul. The ACCC considers that this maintains the current market structure in this local market.
