Undertaking
On 5 January 2026, the ACCC announced that it had accepted a court-enforceable undertaking given by WiseTech Global Limited (WiseTech) and BluJay Solutions (Australia) Pty Ltd (BluJay) pursuant to s87B of the Competition and Consumer Act 2010 (Cth) (the Undertaking) in connection with WiseTech’s completed acquisition of e2open Parent Holdings, Inc. (the Acquisition). As a result of the Acquisition, BluJay and its subsidiary, Expedient Software Pty Limited (Expedient), are now subsidiaries of WiseTech.
The Undertaking requires WiseTech and BluJay to divest Expedient (the Divestiture Business).
The ACCC considers that the Acquisition would have the effect or likely effect of substantially lessening competition for the supply of logistics software in Australia.
The ACCC is concerned that the Acquisition brought together two significant suppliers of logistics software solutions with specific customs clearance capability (namely, CargoWise and Expedient’s products) in Australia. The ACCC considers that WiseTech already has substantial market power, and the Acquisition removes the constraint CargoWise and Expedient provided on each other and significantly reduces the choice available to Australian customers. The ACCC is concerned that this may lead to logistics software customers in Australia being subject to higher prices and/or lower quality services than they would absent the Acquisition.
Objective of the Undertaking
The objective of the Undertaking is to address the ACCC’s competition concerns as set out above, that the ACCC considers would otherwise arise as a consequence of the Acquisition. The Undertaking aims to achieve this objective by placing obligations on WiseTech and/or BluJay:
- to sell the Divestiture Business, or ensure that the Divestiture Business is sold, to an Approved Purchaser who is intended to operate the Divestiture Business as a viable, effective, independent and long-term competitor for the supply of logistics software in Australia
- to provide the Approved Purchaser of the Divestiture Business with all the necessary associated assets and rights to enable it to compete effectively with WiseTech in the supply of logistics software in Australia
- to maintain the economic viability, marketability, competitiveness and goodwill of the Divestiture Business prior to divestiture
- to provide for the effective oversight of WiseTech’s and BluJay’s compliance with the Undertaking.
