Acquirer(s)

  • Valmont Group Pty Limited

Target(s)

  • Delta plc

Summary

Valmont Group Pty Ltd made a cash offer for all of the outstanding shares of Delta plc.

Market definition

The ACCC did not consider it necessary to form a concluded view in relation to market definition. However, for the purpose of conducting this review, the ACCC considered the proposed acquisition in the context of the national market for the supply of transmission support structures.

Competition analysis

The ACCC considered that post acquisition there would be alternative international steel monopole suppliers which would likely offer a direct constraint on the merged entity. Additionally, the ACCC noted that concrete monopoles and steel lattices would also be likely to impose some degree of competitive constraint on the merged entity post acquisition.

The ACCC therefore formed the view that the proposed acquisition was unlikely to substantially lessen competition in the relevant market.
