On 13 February 2007 the ACCC formed the view that the proposed acquisition was unlikely to result in a substantial lessening of competition in the relevant markets. Factors informing this conclusion included:
- future alignment between Australian and International Standards would facilitate greater import competition for emergency lighting products;
- the presence of alternative suppliers of emergency lighting such as Thomas & Betts and Clevertronics;
- the constraint that electrical wholesalers, which are an important distribution channel, would provide on the merged firm's pricing of emergency lighting and general electrical products;
- the proposed acquisition would not remove a vigorous and effective competitor in the emergency lighting market;
- electrical contractors and specifiers can readily switch brands and suppliers in response to any attempted price rice; and
- any attempt to offer a bundle of emergency lighting and general electrical products would be in competition to the product range of the market leader in electrical products, Schneider Group.
