At the time of the acquisition, Industrea was the sole supplier of directional guidance systems certified for use in underground methane rich environments in Australia. The completed acquisition enabled Industrea to enter the downstream market for the supply of underground in-seam directional drilling services. The ACCC considered whether this vertical integration would provide Industrea with the ability and incentive to damage its competitors in the drilling services market.

The ACCC concluded that the upstream market was characterised by barriers to entry that were sufficiently low such that the threat of new entry (or actual new entry), particularly by existing customers, was likely to constrain Industrea post-acquisition from pursuing a foreclosure strategy against competitors in the downstream market.
