When considering the acquisiton in either a Melbourne regional or state-wide market, while the acquisition brought together the two largest back to school retailers, the ACCC considered that the merged entity would continue to be constrained by a number of alternative back to school retailers, as well as relatively low barriers to entry and expansion.
As such, the ACCC considered that the acquisition was unlikely to result in a substantial lessening of competition in any relevant retail market.
The ACCC considered that the acquisition was unlikely to lead to a significant increase in the merged entity's negotiating power in the procurement market given that there will remain many other buyers of varying sizes.
