Summary

Clean Energy Fuels Australia (CEFA) proposes to acquire 100% of the issued share capital in Wesfarmers LNG Pty Ltd (trading as EVOL LNG) (the proposed acquisition). The proposed acquisition includes the entire EVOL LNG business, including customer contracts and associated assets.

CEFA and EVOL LNG both deliver liquefied natural gas (LNG) by road tanker to customers requiring remote energy generation in Western Australia. Natural gas can be regasified upon delivery and used to power gas energy generation infrastructure.

CEFA distributes LNG from its Mid-West LNG processing facility, near Mount Magnet, WA, which has current production capacity of 247 tonnes of LNG per day.

Wesfarmers Limited, through its subsidiary Wesfarmers Kleenheat Gas Pty Ltd also owns and operates the Kwinana LNG processing facility, which has a production capacity of 250 tonnes of LNG per day, which EVOL LNG currently distributes LNG from.

While the Kwinana processing facility will not form part of the proposed acquisition, pursuant to a separate long-term tolling arrangement, which will be entered into simultaneously with the proposed acquisition, CEFA will have exclusive rights for the duration of the agreement to deliver and process natural gas into LNG at Wesfarmers Kwinana processing facility.
