Delinea Inc. (Delinea), a company ultimately controlled by funds managed and/or advised by affiliates of TPG Inc. (TPG), proposes to acquire 100% of the issued share capital in StrongDM, Inc (StrongDM).

TPG is a global alternative asset manager firm founded in San Francisco. 

Delinea is a software business specialising in solutions for identity security through its identity platform that enables enterprises to securely vault credentials, efficiently manage access for human and machine identities, assign appropriate access levels, detect irregularities, manage identity lifecycles, and respond to threats in real-time. 

StrongDM is a provider of just-in-time based Privileged Access Management (PAM) software primarily deployed and operated in cloud environments. StrongDM's products allow temporary access to IT resources which is granted at a specific time to a specific identify for a specific purpose. 

Delinea and StrongDM supply software focused on validating the identity of users to enforce policies regarding the authorisation of users to specific IT resources and distributed business systems, known as Identity and Access Management (IAM) software. IAM products verify and manage digital identities and govern, administer, and enforce user and machine access rights to systems, applications, and data across on-premises and cloud environments. Delinea and StrongDM supply PAM solutions, which are a subset of IAM, which provide an elevated level of technical access.

This application relates to the Acquisition by Intrepid Travel Pty Ltd (Intrepid) of 100% shares in Wild Bush Luxury Experience Pty Ltd (Wild Bush Luxury) held by Experience Co Limited (ExCo). 

Intrepid Group Pty Ltd (IG) is a global, purpose-led experiential travel company, specialising in small group tours and travel experiences. IG has 31 offices around the world and operates more than 1,000 small group adventures in 118 countries. Intrepid is a subsidiary of IG. 

Wild Bush Luxury is a boutique Australian tourism operator that manages and operates the 'The Maria Island Walk' (in Tasmania), 'Arkaba Walk (in South Australia), 'Arkaba Homestead' (in South Australia), and 'Bamurru Plains' (in the Northern Territory). 

Francisco Partners Management, L.P. (Francisco Partners) is a global investment firm specialising in technology and technology-enabled businesses, headquartered in San Francisco, United States with offices in New York and London. Francisco Partners has several portfolio companies that operate across multiple different sectors.

Sermo Limited (Sermo) is a global medical social platform founded in the United States in 2005. Sermo enables healthcare professionals to share knowledge, obtain medical insights from peers on patient cases, access medical information and education, review and rate medicines, participate in anonymous peer consultations and collaborative crowdsourcing, and complete paid surveys to earn money. Sermo has no subsidiary, employees or other physical presence in Australia, but supplies to some Australian customers from its offshore operations. 

A bidding vehicle, Sigrun Bidco Limited, controlled by funds advised by Francisco Partners, is proposing to acquire 83% of the shares in Sermo through a share purchase agreement, with the remainder rolling over to Sermo’s founder / CEO.

GE Healthcare Technologies Inc (GE Healthcare), through a wholly owned subsidiary, proposes to acquire Intelerad Topco Holdings ULC and Intelerad Holdings ULC (together, Intelerad) (the Acquisition).

GE Healthcare is a global medical technology, pharmaceutical diagnostics, and digital solutions company.

GE Healthcare has a portfolio of enterprise imaging products for healthcare providers. This includes products that manage patient data, images and enterprise content, picture archiving and communication systems (PACS) and radiological information systems, which manage the storage and reporting of radiology images. GE also manufactures medical imaging equipment, including CT, ultrasound, MRI and X-ray. 

Intelerad is a global medical imaging software provider that specialises in diagnostic viewing (including PACS), reporting, archiving, and collaboration tools for healthcare providers.

Arena HoldCo Pty Ltd, through its subsidiary, Arena BidCo Pty Ltd (Arena) proposes to acquire: 

(a) 100% of the issued share capital in GameOn Holdings Pty Ltd (GameOn) and its subsidiaries PlayHQ Sports Pty Ltd (PlayHQ), PlayHQ Sports UK Limited and PlayHQ Sports Ltd from its current shareholders; and 

(b) 100% of the issued share capital in RFGI Group Pty Ltd, a shareholder of GameOn, 

(together, the Acquisition). 

Following completion of the Acquisition, it is anticipated that RFGI’s shares in GameOn will be transferred to Arena, followed by the deregistration for RFGI. 

Arena is an indirect subsidiary of ASG IV, LLC and part of the broader Alpine Software Group (ASG) investment structure focusing on acquisitions and investments in enterprise software companies. ASG is an acquirer of software as a service (SaaS) businesses. 

GameOn is a software platform provider that simplifies the administration and management of sports, through its two SaaS platforms, PlayHQ and TeamPay.

Henkel AG & Co. KGaA (Henkel) proposes to acquire all the shares in Aqua Adhesives I GmbH (Aqua Adhesives). Through that, Henkel will acquire control of Aqua Adhesives’ subsidiary, ATP adhesive systems Group GmbH (ATP).

Henkel is a German public company listed on the Frankfurt Stock Exchange, headquartered in Düsseldorf. It is active worldwide through: (i) Henkel’s Adhesive Technologies business unit, and (ii) Henkel’s Consumer Brands business unit.
Henkel’s Adhesive Technologies business unit is a producer of adhesives, sealants and functional coatings for industrial customers, as well as for consumers and craftsmen. Henkel’s Adhesive Technologies brands available in Australia include Loctite, Teroson, Bonderite, Clingtape, Technomelt, Aquence and Pritt.

Henkel’s Consumer Brands business unit offers a diverse portfolio of consumer brands with a focus on two main categories: Laundry & Home Care and Hair Care. Henkel’s consumer brands include Persil, Schwarzkopf, Perwoll, Syoss, Somat, and Bref, among others.

Aqua Adhesives is the parent company of ATP, which is a private company headquartered in Wollerau, Switzerland. ATP manufactures pressure-sensitive adhesive tapes for various end uses. ATP’s business is primarily focused on Europe and North America.
 

DPG Services Pty Ltd (DPG) and OHCA Property Holdings Pty Limited (being related bodies corporate, and together referred to as Opal Healthcare) propose to acquire the land, assets and business comprising the Sunnymeade Park Aged Care Community (Sunnymeade Park) (Acquisition).

DPG is a registered provider of approved residential care homes, and owns and operates 144 residential aged care homes across New South Wales, Victoria, Queensland, Western Australia and South Australia.

Sunnymeade Park is a privately-owned, single approved residential care home with 172 beds, located at 362-376 King Street, Caboolture in Queensland. Sunnymeade Park provides the services required under the Aged Care Act 2024 (Cth), including 24/7 nursing care, ageing in place, secure dementia areas and palliative care. The sellers are Jomal Pty Ltd and Margaret Jean Walker, the latter also as Executor of the estate of Leslie Kenneth Walker and Margaret Jean Walker, being partners of the Leslie K & Margaret J Walker Partnership.

The Acquisition gives rise to a competitive overlap between the parties’ activities in South-East Queensland.

The acquisition is for 100% of the shares of Smiths Detection Group Limited and its subsidiaries from Smiths Group International Holdings Limited by two newly incorporated investment vehicles, Skyshield US Bidco Limited and Skyshield UK Bidco Limited, which are indirectly controlled by funds or vehicles managed and/or advised by affiliates of CVC Capital Partners plc.

CVC Capital Partners plc is a global alternative investment manager focused on private equity, credit, infrastructure and secondaries. CVC Capital Partners plc hold interests in a number of companies active in a variety of industries around the world, including in financial services, chemicals, utilities, manufacturing, retailing and distribution, primarily in Europe, the US and the Asia-Pacific region. 

Smiths Detection Group is a global provider of advanced security-screening and threat-detection technologies.  It has operations in Australia through Smiths Detection (Australia) Pty Limited.

Thermo Fisher proposes to acquire all issued and outstanding equity interests of Clario Holdings, Inc.

Thermo Fisher is a US-based global manufacturer and supplier of a broad range of analytical, research and bioprocessing products, as well as pharmaceutical contract development and manufacturing services. Thermo Fisher, through its Clinical Research Group (CRG, branded as PPD), is active as a global provider of contract research organisation (CRO) services. CRG offers CRO solutions to help pharma and biotech customers bring new therapies and vaccines to market safely and efficiently. It supports pharma and biotech customers (also referred to as Sponsors) in the organisation and evaluation of clinical trials.

Clario is a US-based, privately held clinical trial technology services company that provides regulatory-grade data capture and interpretation services in the context of clinical trials. Clario’s data and analytics technology platform enables critical primary data collection for life sciences customers across all major digital endpoints. Clario offers comprehensive digital endpoint collection services that include electronic Clinical Outcome Assessment, medical imaging solutions, cardiac safety services and respiratory services. While Clario does provide its digital endpoint collection services to certain customers in Australia, Clario does not have a physical presence or a legal entity presence in Australia. 

The Parties are active in the provision of different types of clinical trial services to Sponsors.

As part of its activities, Stockland Corporation Ltd and Stockland Trust (Stockland) operates a land lease communities (LLC) business, which currently comprises a portfolio of 39 LLC projects nationally, including both established communities and communities under development/in planning.

Stockland proposes, as a restructure, to transfer the land and development assets from two Stockland LLC projects, Halcyon Jardin and Halcyon Evergreen (in Clyde and Clyde North in Victoria), from Stockland controlled trusts/entities to newly established special purpose trusts (the Acquisition):

• The Jardin and Evergreen land will be transferred to SMLLP Asset Pty Ltd as trustee for the SMLLP Jardin Trust (Jardin Land Buyer) and SMLLP Asset Pty Ltd as trustee for the SMLLP Evergreen Trust (Evergreen Land Buyer) respectively.

• The Jardin and Evergreen development rights will be granted and development 'work in progress' will be transferred to SMLLP Sub Pty Ltd as trustee of the SMLLP Development Sub Trust (Development Buyer).

At the time of the Acquisition, the Jardin Land Buyer, Evergreen Land Buyer and Development Buyer will be (indirectly) controlled by Stockland. As newly established trusts, the Jardin and Evergreen Land Buyers and Development Buyer have no existing activities. Stockland will, post transfers, continue to develop the Jardin and Evergreen projects.

L'Oréal S.A. (L'Oréal) proposes to acquire 100% of the shares in Kering Beauté S.A.S (Kering Beauté), which is wholly owned by Kering Holland, itself 100% held by Kering S.A. 

Kering Beauté is the French-based parent company of the Creed luxury fragrance group and will, prior to completion of the acquisition, become the exclusive licensee of the beauty product categories of Balenciaga and Bottega Veneta. These licenses will be granted for 50 years and allow Kering Beauté to use and operate the rights associated with the fragrance, cosmetics, candles and skin care product categories for Bottega Veneta and Balenciaga in all jurisdictions worldwide. 

L'Oréal is the French-based parent and ultimate holding company of the L’Oréal Group, which is active worldwide in the research, development, manufacturing, marketing, distribution and sale of beauty and personal care products.

Kering Beauté may, at a future date following the acquisition, be granted a 50-year license to use and operate the rights associated with the fragrance, cosmetics, candles and skin care product categories for the Gucci brand (owned by a Kering entity) in all jurisdictions worldwide. This acquisition is not the subject of the current notification. 

Re.Group (via its associated entity Re.Turn-It Pty Ltd) (Re.Group) is proposing to:

• acquire leasehold interests over the land and buildings currently occupied by the Scouts Recycling Centre in Slacks Creek, Queensland, which is owned by a not-for-profit organisation called The Scout Association of Australia, South Australian Branch Incorporated (Scouts SA);

• purchase all assets from Scouts, including the plant and equipment located in the above leased area that are used as part of the Queensland Container Refund Scheme; and

• take on the employment of staff currently engaged by Scouts SA at the Recycling Centre in Slacks Creek (together, the Acquisition).

Re.Group operates material recycling facilities and food and garden organics processing services in Australia and New Zealand. Re.Group is a network operator for the Australian Capital Territory and Victorian Container Deposit Schemes and an operator for equivalent container deposit and refund schemes in Western Australia and Queensland. Re.Group also operates a number of refund points in New South Wales.

Star Hotels is an independently owned and operated pub and liquor retail group, primarily operating pubs along the eastern seaboard of QLD as well in South Australia. It currently operates over 50 venues in QLD, including two pubs in the Sunshine Coast area.

The Yandina Hotel is owned by the Trustee for Kingston Family Trust (trading as Yandina Hotel), a single-site operator. The Yandina Hotel offers dining, accommodation, gaming and a bottle shop.

Under the Acquisition, Star Hotels will acquire both the freehold land and the business assets of the Yandina Hotel. 

The Carlyle Group Inc. (Carlyle) is a global investment firm headquartered in Washington DC, USA, with assets under management across three business segments: (i) Global Private Equity (including corporate private equity and real estate funds); (ii) Global Credit (including liquid credit, illiquid credit and real assets credit); and (iii) Carlyle AlpInvest (including primary, secondary, and co-investments, commingled funds, and separately managed accounts).

Peloton Computer Enterprises Ltd. (Peloton) is a global supplier of software predominantly used by exploration and production (E&P) operators in the upstream oil and gas industry. E&P is an early phase in the oil and gas industry concerned with locating and extracting raw materials.

Carlyle, via its controlled investment vehicle (CG Panther Parentco, L.P., Panther), proposes to acquire non-voting and non-convertible preferred equity in Peloton, as well as warrants that (if exercised) would provide Carlyle with up to c. 14% of the fully-diluted equity in Peloton (pro forma for the transaction). Carlyle will ultimately (via Panther) hold only (i) preferred equity and (ii) warrants amounting up to c. 14% holding of common equity interests in Peloton on a lookthrough basis. 

Altor Fund Manager AB (Altor), through CAVE BidCo Oy (Cave), proposes to acquire 100% of the issued shares in Evac Holding Oy (Evac). 

Altor is a Swedish-based private equity group. Altor is a well-established investment firm with a portfolio of companies across various sectors. Cave is a Finnish limited liability investment vehicle controlled by Altor that does not supply any goods or services. 

The target, Evac, is a Finnish limited liability company. Evac is currently majority owned by Bridgepoint Europe V Investments S.à r.l. along with several management minority shareholders. Evac’s key brands are “Evac”, “Cathelco” and “HEM”. Evac products include integrated water and waste management solutions, primarily for the marine industry and, to some extent, for land-based applications. Evac has no Australian subsidiaries or Australian presence, but generates some revenue in Australia from sales to distributors based in Australia.

KKR Spire Aggregator L.P., a special purpose vehicle indirectly wholly owned by investment funds, vehicles and/or accounts advised and managed by Kohlberg Kravis Roberts & Co. L.P. (together with its affiliates, KKR) alongside Carrick Capital and other members of the consortium propose acquiring control over Saviynt, Inc.
KKR is a global investment firm that offers alternative asset management as well as capital markets and insurance solutions. KKR sponsors investment funds that invest in private equity, credit and real assets and has strategic partners that manage hedge funds. 

Saviynt is a cyber security provider focused on identity solutions. Saviynt’s solutions allow companies (and other organisations) to manage log-in details for their employees when accessing company resources. Saviynt provides an Identity Governance & Administration software that centralizes lifecycle management, access requests, compliance, and audit across hybrid IT environments, including human and non-human identities, along with a number of adjacent identity products.

Albany Motors Pty Ltd (Albany Motors), a member of Regent Motors Pty Ltd (Regent Motors Group), proposes to acquire 100% of the issued shares in Esperance Motor Group Pty Ltd (Esperance Motor Group) from Buverie Pty Ltd as trustee for the Schwarzback Family Trust.

Regent Motors Group owns and operates franchised motor vehicle dealerships in Western Australia and Northern Territory, and supplies new (by brand) and used motor vehicles, plus aftersales services including servicing and repairs, parts and accessories, fleet sales/service, and finance and insurance facilitation.

Esperance Motor Group operates a Toyota and Ford dealership in Esperance, Western Australia, supplying new and demonstrator Toyota and Ford vehicles, used vehicles, and aftersales services including servicing and repairs, parts and accessories, fleet activities, and finance and insurance facilitation.

Google LLC (Google) proposes to acquire 100% of the share capital in Wiz Inc (Wiz). 

Google supplies a wide range of digital products and services in Australia, including general search services, a mobile operating system (Android), a mobile app marketplace (the Play Store) and advertising technology services, and operates across multiple layers of the generative AI stack. Google supplies a range of cloud computing services to Australian consumers and businesses through its Google Cloud division, and also offers several cloud security products.

Wiz offers cloud security services to enable organisations to identify and prevent critical security risks across multiple cloud platforms, as well as in hybrid and on-premises environments. Wiz’s primary product is a cloud native application protection platform (CNAPP) called Wiz Cloud. Wiz also offers add-ons to Wiz Cloud to enhance its capabilities, including Wiz Sensor, Wiz Defend and Wiz Code. 

Accenture International B.V. (Accenture) proposes to acquire the issued share capital of Faculty Science Limited (Faculty Science) pursuant to a share purchase agreement.

Accenture is a global professional services firm with operations in over 120 countries. It provides a comprehensive suite of professional services designed to assist public and private sectors to navigate digital transformation, optimise operations, and build advanced technological capabilities.

Relevantly, in Australia, Accenture provides IT services, including application implementation tools and managed services, IT infrastructure implementation tools and managed services, and technology consulting services including to Government, utilities and energy customers.

Faculty Science is an artificial intelligence (AI) services firm, headquartered in the United Kingdom. Founded in 2014, its focus is on supplying (i) AI strategy and solution development services (including, AI strategy, design, infrastructure, development, operations and change); and (ii) a decision intelligence platform called ‘Frontier’, which analyses data infrastructure and provides insights to enhance decision-making. 

Salesforce, Inc (Salesforce) is a global supplier of customer relationship management (CRM) software and other software-as-a-service solutions that enable companies to manage and improve their relationships with customers. Salesforce is a publicly listed company on the New York Stock Exchange and is headquartered in San Francisco, California.

Qualified.com, Inc (Qualified), founded in 2018 and headquartered in San Francisco, California, is a provider of an agentic marketing product. Qualified offers its products worldwide, including in Australia.

Both Salesforce and Qualified supply conversation automation solutions for business-to-business (B2B) uses, which integrate with Salesforce’s CRM software. Conversation automation solutions for B2B uses includes tools, such as virtual assistants, artificial intelligence (AI) agents, and chatbots, that support functions such as outbound and inbound sales prospecting for lead generation, customer qualification, customer research, meeting scheduling, and personalised product recommendations.

Salesforce proposes to acquire by merger all of the outstanding voting securities of Qualified.
