HCL Technologies Limited (HCLTech) proposes to acquire Jaspersoft, a business unit of Cloud Software Group that supplies a reporting software platform (including JasperReports®).

The acquirer, HCLTech, is a global technology company listed on the National Stock Exchange of India. HCLTech provides a broad range of services and software products with capabilities centred around AI, digital, engineering, cloud and software to a range of industries. These solutions include supporting organisations with AI infrastructure, product engineering services, digital consultancy services, and specialized industry software. Relevantly, HCLTech provides software that includes data management, integration, governance and analytics readiness.

The target, Jaspersoft, provides reporting solutions software (including JasperReports) used by organisations to develop pixel-perfect reports, dashboards and visualisations. Jaspersoft licenses its reporting software to organisations to embed within their applications and to independent software vendors for inclusion within their applications.

EGYM SE (together with its subsidiaries, EGYM) and Mindbody, Inc. (together with its controlled subsidiaries, Playlist) intend to combine in a newly established company, Saturn NewCo, Inc. (Saturn), and transfer shares in Saturn to the existing shareholders of EGYM and Playlist.

Playlist is a US-based parent brand of the brands ClassPass, Mindbody and Booker. An aspect of ClassPass’s offering is a fitness and wellbeing aggregation service through which users can obtain access to various fitness, wellbeing and lifestyle experiences such as fitness classes, studios, spas, etc. ClassPass provides subscriptions directly to consumers. Mindbody offers a Software as a Service solution for the fitness, wellbeing and beauty industry, providing back-end infrastructure via a software platform to help fitness studios, wellbeing centres, spas and salons manage their business operations. Booker provides an online booking and business management system specifically for spa facilities, salons and other appointment based service businesses (such as beauty services or wellbeing centres).

EGYM is a German-based provider of smart gym equipment and software to fitness and health facilities, as well as corporate fitness and wellbeing aggregation services (primarily in relation to gyms and fitness clubs) to companies worldwide.

International Business Machines Corporation (IBM) proposes to acquire 100% of the shares in Confluent, Inc (Confluent).

IBM is a corporation headquartered in Armonk, New York, United States of America, and is publicly listed on the New York Stock Exchange (NYSE: IBM). It is active worldwide in the development, production and marketing of a wide variety of IT solutions, including enterprise IT software and systems (such as servers, storage systems, cloud, and cognitive offerings) and IT implementation services (such as business consulting and IT infrastructure services). 

Confluent is headquartered in Mountain View, California, United States of America, and is publicly listed on the Nasdaq Global Select Market (Nasdaq: CFLT). Confluent is a data-streaming platform company built on Apache Kafka, which is an open-source technology. Confluent provides cloud-native and on-premise offerings that enable organisations to publish, subscribe to, store, and process real-time data streams at scale for use in building real-time applications and event-driven architectures. 

Cielo Topco Limited, through its wholly owned subsidiary Kee Safety (Australia) Pty Ltd (Kee Safety), proposes to acquire RISSafety Enterprises Pty Ltd and its subsidiaries (together, RIS Safety).

Kee Safety provides working at height solutions enabling safe access for building, plant and equipment maintenance outside Australia including throughout the United Kingdom and the United States. Safe access solutions include design, installation, inspection and training of permanent and personal fall protection equipment.

Kee Safety does not currently conduct any business in Australia.

RIS Safety provides working at height solution goods and services throughout all states and territories in Australia, operating as RISSafety, Safety Plus, Hallweld Safety and Sydney Safety Training.

Sony Pictures Entertainment Inc. (SPE) and Sony Music Entertainment (Japan) Inc. (SMEJ) (together with Sony Group Corporation, Sony) propose to acquire 100% of the voting securities of DHX Entertainment (USA) Inc. (DHX). 

The acquirer, Sony, is a global entertainment and technology business headquartered in Tokyo, Japan, and listed on the Tokyo Stock Exchange and New York Stock Exchange. It operates in sectors such as game and network services, music, pictures, entertainment services, imaging solutions, and financial services.

The target, DHX, is a holding company with a controlling interest in Peanuts Worldwide. Peanuts Worldwide owns, manages, and licenses copyrights and other intellectual property rights of the Peanuts brand. This includes characters such as Snoopy and Charlie Brown. The family of Charles M Shulz, creator of Peanuts, will retain its 20% stake in the brand.

Sony and Peanuts Worldwide are both active in character intellectual property licensing for various customer use cases and the licensing of film and TV content related to those characters, globally and in Australia.

Abbott Laboratories (Abbott), via its wholly owned subsidiary Badger Merger Sub I, Inc, proposes to acquired 100% of the shares in Exact Sciences Corporation (Exact Sciences) through an Agreement and Plan of Merger. 

Abbott is a global healthcare company, headquartered in the US, active in the provision of diagnostics, medical devices, nutrition, and branded generic pharmaceuticals.

Exact Sciences is a US headquartered company active in the provision of advanced molecular diagnostics, specialising in cancer screening, precision oncology diagnostics, and genetic testing. 

The parties both supply oncological diagnostic products in Australia. 

Clifford Hallam Healthcare Pty Limited, a wholly-owned subsidiary of Paragon Care Limited (Paragon Care), proposes to acquire the Presidental business (Presidental) through an Asset Purchase Agreement from Presidental Pty Limited and Rockpac South Pacific Pty Ltd.

Paragon Care is a publicly traded company listed on the Australian Stock Exchange. It supplies pharmaceuticals, medical equipment and devices as well as medical and specialist dental consumables to the healthcare market in Australia, New Zealand and Asia. Paragon Care established its dedicated dental consumables business in May 2025. 

Presidental is an Australian-owned business focusing on the supply of dental equipment and maintenance and repair services for dental equipment to dental clinics and surgeries in New South Wales, Brisbane and parts of regional Queensland, Victoria and Tasmania. Presidental also supplies a small volume of dental consumables associated with the dental equipment it supplies, as well as some steriliser machines and associated consumables to medical practices. 
 

H-E Parts International Mining Solutions Pty Ltd (H-E Mining) intends to enter into an agreement for lease with ATB Morton Pty Ltd (ATB Morton) in respect of land located at 88 Michelmore Street, Paget, Mackay, Queensland (the Property) and improvements to be constructed by ATB Morton. 

ATB Morton will acquire and construct a purpose-built industrial warehouse and workshop facility on the Property. ATB Morton will then lease the Property and improvements constructed by ATB Morton to H-E Mining. 

The Property will be used by H-E Mining and H-E Parts International Mining Solutions Cooling Division Pty Ltd (H-E Cooling).

HEP Australia Holdings Pty Ltd is the parent entity of H-E Mining and H-E Cooling. These companies are providers of parts, engineered components, and service support for heavy-duty equipment used in mining and related industries, supporting both surface and underground operations as well as crushing and materials processing applications. 

ATB Morton is a commercial and industrial property developer. 

Funds managed by each of General Atlantic (GA) and Canada Pension Plan Investment Board (CPP Investments) propose to indirectly acquire interests in Boats Group Holdings, Inc (Boats Group) through acquiring interests in Bimini Holdings, LP, which indirectly owns 100% of Boats Group (the Acquisition).

Boats Group operates online marketplaces for recreational boats and yachts (including Boat Trader, YachtWorld, boats.com and European portals such as iNautia, Botentekoop, Boats and Outboards, and Boatshop24). Boats Group has subsidiaries in the US, UK, Canada, Spain, France, the Netherlands and Germany. Boats Group is currently controlled and majority owned by Permira Holdings Limited (Permira).

Permira is a Guernsey-registered private equity business engaged, through its subsidiaries and affiliates, in the provision of investment management services to a number of investment funds. Post completion, Permira will retain an interest in Boats Group, alongside GA and CPP Investments.

GA is a global private equity firm headquartered in the United States.

CPP Investments is a professional investment management organisation that invests the funds transferred to it by the Canada Pension Plan (CPP Fund) that are not needed by the CPP Fund to pay current benefits in the best interests of more than 22 million contributors and beneficiaries.

Blackbird FOF25 Pty Ltd as trustee for Blackbird Ventures 2025 Follow-On Fund Trust (Blackbird FOF25) proposes to purchase shares of Series E Preferred Stock in a capital raise by Baseten Labs, Inc (Baseten).

Blackbird FOF25 is a venture capital fund managed by Blackbird Ventures. Blackbird Ventures is a venture capital firm based in Australia and New Zealand that invests in early-stage and high-growth technology companies. Funds managed by Blackbird Ventures (including Blackbird FOF25) hold minority investments in companies in Australia, New Zealand and around the world.

Baseten is a provider of an artificial intelligence (AI) inference platform and is based in San Francisco. Baseten's platform enables customers to deploy AI models across multiple clouds, regions, and geographies through its multi-tenant, single-tenant, and self-hosted deployment options. Baseten also offers on demand AI training capabilities for companies deploying custom or fine-tuned models. The Baseten platform encompasses models across various modality and use cases, including large language models, speech-to-text, text-to-speech, image generation, video generation, embeddings, and multi-model workflows.

Vets Central Holdings Pty Ltd (together, with its subsidiaries, Vets Central), proposes to acquire 100% of the business assets (both tangible and intangible) of Gawler Animal Hospital and Animalia Vet Clinic (the Targets) from Gawler Animal Hospital Pty Ltd and GAH 2.0 Pty Ltd, respectively.

Vets Central is an Australian-owned veterinary group that owns and operates 78 first opinion veterinary practices across Australia and New Zealand. In Australia, Vets Central’s practices provide core and ancillary veterinary services, for household pets as well as livestock, and other exotic species. The services primarily include routine, planned, and emergency veterinary services (excluding after-hours services).

The Targets are jointly owned, first opinion veterinary practices that provide routine, planned and emergency (excluding after-hours) veterinary services in the Gawler and Evanston areas of South Australia. 

Vet Central and the Targets both provide a range of veterinary services for household and exotic pets in their respective local areas.

NEC Corporation (NEC) proposes to acquire the entire issued and outstanding share capital of CSG Systems International, Inc. (CSG) (the Acquisition).

The Acquisition will be implemented by way of a reverse triangular merger pursuant to an Agreement and Plan of Merger between NEC, CSG and Canvas Transaction Company, Inc. This will involve CSG merging with NEC’s wholly-owned Delaware subsidiary (Canvas Transaction Company, Inc.) and then surviving the merger as a wholly owned subsidiary of NEC.

NEC is a Japanese conglomerate listed on the Tokyo Stock Exchange and headquartered in Tokyo, Japan. NEC is mainly active in IT services, systems integration, and telecommunications infrastructure. Netcracker Technology Corporation (Netcracker) is a wholly owned subsidiary of NEC, headquartered in the United States, which provides cloud-based business support systems which support customer-facing operations and operations support systems which support the technical and operational aspects of telecommunications networks. 

CSG is headquartered in the United States and listed on the Nasdaq Stock Exchange. CSG is a Software-as-a-Service company that provides customer engagement and billing software to companies in various industries, including telecommunications.

AVC Operations Pty Limited (AVC) proposes to acquire a leasehold (via lease assignment), the benefit of a liquor licence and certain plant and equipment (with certain exclusions) of Quay Restaurant (Quay) from Q.R.A. Pty Limited (the Acquisition). The Vendor will not transfer the existing business of Quay to AVC, only the specific assets mentioned above. 
AVC is a subsidiary of Australian Venue Co. Holdings Limited which operates licensed venues throughout Australia and New Zealand, primarily pubs, as well as bars, clubs and licensed restaurants. AVC's venues are individually branded and mostly located in inner-city and metro areas, offering food, alcoholic and non-alcoholic beverages, function rooms, live entertainment and gaming facilities. 
Quay is situated on the Sydney harbourfront at Tenancy 6, Upper Level, Overseas Passenger Terminal, The Rocks. Quay Restaurant offers fine dining with views of the Sydney Opera House and Harbour Bridge.

 

Australian Retirement Trust Pty Ltd as trustee of the Australian Retirement Trust (ART) is an Australian superannuation fund. ART manages retirement savings for >2.4 million members and >207,000 participating employers across Australia as at 30 June 2025. ART has limited interests in a small number of shopping centres in Sydney and New South Wales.

Scentre Group Limited (ASX: SCG) (Scentre Group) is an ASX-listed Australian real estate investment trust established in 2014. Scentre Group owns, develops and manages a portfolio of 42 Westfield shopping centres across Australia and New Zealand, including Westfield Sydney. Its business encompasses property investment, development, design, construction, leasing and asset management.

ART (through a wholly owned trust) has entered into an agreement with various wholly owned Scentre Group entities to acquire either:

• a 19.9% interest in certain digital advertising assets located at Westfield Sydney, and the non-rental revenue associated with certain digital and other advertising within Westfield Sydney, valet services, gift cards and other ancillary or incidental non-rental income; or

• only the non-rental revenue associated with certain digital and other advertising within Westfield Sydney, valet services, gift cards and other ancillary or incidental non-rental income 

  (the Acquisition).

The Acquisition is related to ART’s proposed acquisition of a 19.9% interest in the property trusts that own the various parcels of land that comprise Westfield Sydney, announced 23 December 2025.

Symal Group Limited (Symal Group), through its wholly owned subsidiaries, proposes to acquire all of the business and assets of:

• the Timms business from Timms Contracting Pty Ltd, Timms Hire Pty Ltd and Teagun Investments Pty Ltd (collectively referred to as Timms Group); and

• the L&D business from Churinga (Investments) Pty Ltd as trustee for the Churinga Trust and Adawin Pty Ltd (collectively referred to as L&D Group).

As part of the transaction, Symal NG Property Pty Ltd may enter into a licence for the property located at 36 Frederick Street, Northgate, QLD 4013 (the Property), which is owned by Clarkson-Jones Investments (Qld) Pty Ltd, K Parsons Investments (Qld) Pty Ltd, Timms Investments (Qld) Pty Ltd and Jones Investments (Qld) Pty Ltd. 

Symal Group is an Australian based self-performing contractor providing construction and engineering services, specialising in the roads, rail, defence, justice, ports and energy sectors. The services provided by Symal Group include various forms of construction, project management, plant and equipment hire, material sales and recycling and repurposing. 

Timms Group is a Tier 2 contractor that provides plant-intensive civil works and hauling services for infrastructure and construction projects in Queensland. L&D Group is a Tier 1 contractor on infrastructure and construction projects in Queensland, including the provision of demolition, bulk earthworks, site preparation and construction services. 

Symal Group does not currently supply the services offered by Timms Group and L&D Group in Queensland. 

L Catterton Management Limited, together with its controlled funds and affiliates (LCAT), proposes to acquire ~45% of the issued share capital of Ex Nihilo Group (Ex Nihilo), through LCAT’s controlled entity, Saphir Holdings SAS (Saphir). 

LCAT is a consumer-focused private equity firm based in the United States with assets under management globally. 

Ex Nihilo is a luxury fragrance house based in France specialising in the creation, production, and wholesale and retail distribution of high-end perfumes and related products. Ex Nihilo was launched in 2013 and has retailers operating worldwide.

Coforge Limited (Coforge) proposes to acquire Encora US Holdco, Inc. and Encora Holdings Limited (together, Encora). As consideration, Encora Holdco Limited and AI Altius Parent (Cayman) Limited (together, the Sellers) propose to acquire a non-controlling, minority interest in Coforge.

Coforge is a global technology services and solutions provider based in India. Coforge offers a broad range of technology consultancy services and solutions to business customers. Coforge operates across 25 countries, including Australia.

Encora is a global digital engineering services company specialising in supplying a narrow subset of technology consultancy services and solutions to business customers (namely, software product development). Encora is based in the United States and operates across a number of countries globally, with a limited presence in Australia. 

The Sellers are indirectly owned by private equity funds managed and/or advised by Advent International, L.P. and/or its affiliates (Advent).

Advent is a private equity investment firm based in the United States. Advent is focused on equity stakes and the management of investment funds in various sectors, including healthcare, industrial, technology, retail, consumer, and business and financial services.

Ramsay Health Care Investments (Ramsay) or one or more of its wholly owned subsidiaries proposes to acquire the businesses, assets and certain assumed liabilities of National Capital Private Hospital (NCPH) from Healthscope pursuant to a Business and Asset Sale Agreement. 

Ramsay is a publicly listed private hospital operator with over 75 hospitals, clinics and surgical centres across Australia. Ramsay does not currently have any facilities in the Australian Capital Territory (ACT) or its surrounding regions. The closest Ramsay operated private hospitals to NCPH are Southern Highlands Private Hospital in Bowral, New South Wales (NSW) and Nowra Private Hospital in Nowra, NSW.

NCPH is a private hospital in Garran, ACT which is currently operated by Healthscope, a private hospital operator with 36 hospitals Australia-wide. In May 2025, Healthscope’s parent entities went into voluntary administration and receivers and administrators were appointed by its lenders and the Healthscope Board, respectively, to conduct an orderly sale of the hospitals in its network.

Private hospitals supply services to patients, private health funds in respect of their members and to government for Medicare patients. Private hospital operators also supply facilities to medical and allied health professionals providing services within the hospitals that they operate.

Achronite Bidco Limited, a special purpose vehicle owned and controlled by funds managed or advised by Warburg Pincus LLC (Warburg Pincus) and its affiliates, is proposing to acquire 80-100% of the issued share capital of Acclime Holdings HK Limited (Acclime).

Warburg Pincus is a private equity firm headquartered in New York, USA. Warburg Pincus has more than $85 billion in assets under management, and more than 215 companies in their active portfolio, diversified across stages, sectors, and geographies. In Australia, Warburg Pincus’ portfolio companies are primarily active in software and financial sectors.

Acclime is a corporate and business services firm headquartered in Hong Kong. Acclime provides a comprehensive range of professional services and business advisory services, including integrated corporate services, fund services, accounting, tax, and advisory solutions across Asia Pacific (including Australia) and the Middle East. In Australia, Acclime provides corporation formation and structure, accounting, tax, HR and advisory services.
