Scopely, Inc. (Scopely) proposes to acquire: 

• an initial 51% of the shares of Loom Games Oyun Yazılım ve Pazarlama Anonim Şirketi (Loom Games), and

• 4 related 12.25% stakes, up to 100% of the shares of Loom Games.

Scopely is a wholly-owned subsidiary of Saudi Electronic Games Holding Company (doing business as Savvy Games Group (Savvy)), which itself is a wholly-owned subsidiary of the Public Investment Fund (PIF), the sovereign wealth fund of Saudi Arabia.

Scopely is an interactive entertainment company specialising in the development and publishing of mobile-first video games. Scopely develops games in-house, through Scopely’s development studios, as well as through external partner studios.

Scopely’s published mobile games currently available include MONOPOLY GO!, Star Trek Fleet Command, Marvel Strike Force, Pokémon GO, Monster Hunter Now, Campfire, Wayfarer, Pikmin Bloom, Bingo Bash: Live Bingo Games, Tiki Solitaire TriPeaks, Yahtzee with Buddies, WWE Champions, Scrabble GO, GSN Casino: Slot Machine Games, Stumble Guys, Looney Tunes World of Mayhem, Dice With Buddies: Social Game, Wheel of Fortune: Show Puzzles, Temple Run: Puzzle Adventure, and Grand Casino: Slots Games. Games produced by Scopely are built on its Playgami platform, which includes both publishing tools and a learning system to help support game development during all aspects of its development cycle and after launch.

Savvy is the ultimately controlling company within PIF that is active in gaming. The only Savvy-owned companies active in mobile gaming are Scopely and Scopely’s wholly owned subsidiaries, Niantic, and Tag Games. Savvy is otherwise active in organising and commercialising eSports events, developing and investing in experimental gaming venues, and developing video games.

Aside from Savvy, PIF’s portfolio consists of companies active in various industries, including aerospace and defence, construction, financial services, healthcare, mining, real estate and others.

Loom Games is a mobile game developer engaged in the development, distribution and operation of puzzle games, based in Istanbul, Turkey, and established in 2025. Loom Games’ games are (i) Pixel Flow! and (ii) Ropeland (which is currently dormant). It distributes its games mainly through global app stores such as Google Play and Apple App Store, with its core revenue streams derived from in-app advertising and in-app purchasing/subscriptions.

Superloop Limited (ASX: SLC) (Superloop) proposes to acquire 100% of the shares in Lynham Networks Pty. Ltd. (Lynham Networks).

Superloop’s core business is retail broadband services, operating as a retail service provider (RSP) supplying broadband services to end users, primarily using the NBN network as well as a private fibre-to-the-premises (FTTP) network. Superloop also has a number of wholesale FTTP networks under its subsidiaries, VostroNet and Frontier, which are statutory infrastructure providers (SIP) that build and operate wholesale access FTTP broadband networks for declared service areas. Superloop provides retail fixed broadband services on its FTTP network as well as wholesaling FTTP services to other RSPs on a non-discriminatory basis. 

Lynham Network is a FTTP network operator and SIP supplying wholesale, open access network services that enable RSPs to sell fixed broadband services to end customers. Its core business involves building and operating fibre networks primarily for new residential and mixed-use developments. Lynham Network also has a retail arm, Lightning Broadband, which sells broadband services to residential and business customers but only over the Lynham FTTP network. Lynham does not offer broadband services over the NBN network.

Henkel AG & Co. KGaA (Henkel) proposes to acquire all the shares in and sole control of ATP Adhesives Systems Group GmbH (together with subsidiaries, ATP) from ATP Adhesives Holdings LP, which pre-transaction is controlled by affiliates of Arsenal Capital Partners. 

Henkel is a German public company listed on the Frankfurt Stock Exchange. Henkel’s Adhesive Technologies business unit is a producer of adhesives, sealants and functional coatings for industrial customers, as well as for consumers and craftsmen. Henkel’s Adhesive Technologies brands available in Australia include Loctite, Teroson, Bonderite, Clingtape, Technomelt, Aquence and Pritt. In Australia, Henkel supplies tapes and labels (T&L) adhesives and non-water-based pressure-sensitive adhesive (PSA) tapes. 

ATP is a private company headquartered in Wollerau, Switzerland. ATP manufactures PSA tapes for various end uses. In Australia, ATP supplies only water-based PSA tapes. 

The transaction involves the indirect acquisition of joint control by funds advised or managed by HongShan Capital Advisors Limited (HSG) and by Rosa Investments Pte. Ltd. (Rosa), an investment holding company indirectly wholly owned by Temasek Holdings Private Limited (Temasek), over Golden Goose Group S.p.A. (GGG), a holding company which in turns owns the entire share capital of Golden Goose S.p.A. (Golden Goose). 

Golden Goose is an Italian-headquartered company specialising in the design, manufacture and sale of premium apparel, with a strong focus on footwear, in addition to ready-to-wear clothing and accessories. Golden Goose distributes its products through its own retail stores, wholesale channels, and its online platform, operating across Europe, the United States and Asia. 

HSG is a venture capital and private equity firm headquartered in Hong Kong. HSG holds controlling interests in Holzweiler Items AS (Holzweiler) and Ami Paris SAS (Ami Paris). 

Incorporated in 1974, Temasek is an investment company headquartered in Singapore and has a global portfolio covering a range of industries. 

The acquisition consists of BidCo (a company wholly owned by GG11 S.p.A. (HoldCo), an entity indirectly wholly owned by HSG), acquiring: 

a. 100% of the shares in Astrum S.a.p.A. di Astrum 4 S.r.l. & C., a company which, in turn, owns 88.05% of the share capital of GGG; and 

b. the shares representing the remaining 11.95% of the share capital of GGG from PSLG Limited, pursuant to a sale and purchase agreement entered into by and among Permira VII Investment Platform Limited, Astrum 4 S.r.l., Astrum 5 S.r.l., Astrum 6 S.r.l., CEP IV Participations S.à r.l., SICAR and Carlyle Growth Investments III, on one side, and BidCo, as purchaser, on the other side. 

Immediately prior to or at closing of the acquisition, Rosa and True Light Investments P Pte. Ltd., certain managers of GGG, funds advised or managed by Permira Holdings Limited (Permira) and funds advised or managed by Carlyle will invest alongside HSG in HoldCo, and indirectly in BidCo and GGG.

Following the acquisition, GGG will be jointly controlled by HSG and Temasek. 

Telstra Limited (Telstra) is a leading Australian telecommunications and technology company, offering a range of communications services. Telstra provides consumer and business connectivity across mobile and fixed broadband, and delivers enterprise solutions including network, cloud, security, data and analytics, software development, and managed/professional services. 

Infosys Technologies Limited (Infosys) is a global technology consultancy and outsourcing provider. It provides end-to-end solutions spanning consulting, technology, engineering and outsourcing services, and also offers software products and platforms. The company has a large global footprint, with operations across 59 countries. 

Under an agreement, Telstra will outsource certain business functions to Infosys and Infosys will transform Telstra’s enterprise IT stack in respect of underlying carriage services supplied to certain Telstra Enterprise and Mid-market customers. As part of the agreement, Telstra and Infosys will acquire rights in relation to certain intellectual property.

Apex Group Limited (Apex), through its wholly owned subsidiary, Apex Group Holdings (Australia) Pty Ltd proposes to acquire all of the issued share capital in Mercer Administration Services (Australia) Pty Limited (Mercer Administration Services) and certain assets (including contracts and records necessary to service the contracts) of Mercer Outsourcing (Australia) Pty Ltd (Mercer Outsourcing) from Mercer (Australia) Pty Ltd and Mercer Outsourcing (the Acquisition). 

Apex is a global financial solutions provider, offering a suite of services to superannuation funds, asset managers, capital markets, family offices and corporates. Apex provides a broad range of services including investor services, custody, private equity, corporate services, and fund administration. 

Mercer Administration Services and Mercer Outsourcing (together, Mercer) are both providers of outsourcing and administration services, primarily for the Australian superannuation industry. They manage administrative functions for a wide range of superannuation funds. 

Both Apex and Mercer supply administration services to superannuation funds in Australia. Administration services include fund administration (contribution and benefit payments, service improvement and development), fund accounting, insurance administration (including claims support) and risk administration (incident and complaints management, systems analysis and insurance remediation). 

Charter Hall Holdings Pty Limited (Charter Hall Holdings) is wholly owned by Charter Hall Limited (ASX: CHC) and proposes to acquire 100% of JGS Private Capital Pty Ltd (JGS Private Capital), which is wholly owned by J.G. Service Pty Limited (the Proposed Acquisition). 

JGS Private Capital operates an investment and property management business and serves as trustee of 8 unit trusts, with 7 of the units holding interests in commercial real estate and one being a finance trust (Trusts). CareSuper Pty Ltd (CareSuper) is the sole unitholder of each Trust. 

Charter Hall Holdings operates a property investment and management business and serves as trustee of land-holding trusts. 

Both Charter Hall Holdings and JGS Private Capital are involved in leasing and/or licensing commercial real estate to existing or prospective tenants to generate rental returns. 

CareSuper is JGS Private Capital’s only client, and is also an existing client of Charter Hall Holdings, but JGS Private Capital and Charter Hall Holdings are otherwise unrelated. 

There are no vertical relationships between Charter Hall Holdings and JGS Private Capital.

Through the Proposed Acquisition Charter Hall Holdings will acquire the right to manage and control the Trusts and their underlying assets. JGS Private Capital owns no beneficial ownership interest in any Trust or any of the real property assets held by the Trusts, which will continue following completion. Beneficial ownership of the Trusts and their underlying assets will remain with CareSuper following completion of the transaction. 

Crossmuller Pty. Limited (Crossmuller) proposes to acquire 100% of the issued share capital of GEMCORP Holdings Pty Ltd (GEM). 

Crossmuller designs, engineers and delivers manufacturing, electrical and industrial automation solutions for industrial clients. Crossmuller provides project delivery services, from concept and detailed engineering through to electrical installation, software and systems integration, fitting and machining commissioning, and ongoing support across a range of manufacturing sectors.

Crossmuller owns the registered businesses Main Control Systems and Main Control Switchboards (together, MCS), which manufactures low-medium amperage electrical switchboards (up to 1,200 amps) for use in residential and commercial projects. 

Crossmuller is part of the Borg Group, an Australian-owned private group of companies and brands involved in the manufacture of building materials, waste recycling operations, forestry, packaging, engineering and automation services. 

GEM designs, engineers and manufactures custom low voltage and high amperage electronical switchboards (up to 4,000 amps), as well as motor control centres and control panels, which are built for industrial, commercial and infrastructure applications. GEM offers services encompassing design, assembly, factory testing, site installation, commissioning and maintenance.

Allied Beef Group Pty Ltd (Allied Beef) proposes to lease the Yarranbrook Feedlot land (Yarranbrook) from Yarranbrook Property Pty Ltd (Lessor) pursuant to a lease agreement.

Yarranbrook is a beef cattle feedlot with associated grazing and cropping activities located at 188 Cremascos Road in Inglewood, Queensland.

Allied Beef is an Australian-based company that primarily owns and leases land for beef cattle farming and feedlot operations in Queensland and New South Wales. Allied Beef also supplies associated services including private cattle marketing, backgrounding and contract cattle breeding. Allied Beef is ultimately controlled by Laguna Bay Agricultural Fund No 1.

Laguna Bay Agricultural Fund No 1 is an Australian-based investment fund which specialises in investing in agricultural businesses in Australia.

The Acquirer, Global Garella, S.L., a wholly-owned subsidiary of Colliers International Group Inc., (CIGI) proposes to acquire 100% of the shares in Ayesa Engineering, S.A.U. (Ayesa) from Ayesa Inversiones, S.L.U.

CIGI is a global, diversified professional services and investment management company that operates through three divisions (Real Estate Services, Engineering and Investment Management) in over 70 countries. In Australia, its engineering consultancy services include engineering design services and site supervision and project management services, in particular, civil-based engineering consultancy services for projects in the property and buildings and water sectors.

Ayesa provides engineering consultancy services, including engineering design and site supervision and project management services, in various countries worldwide. In Australia, Ayesa supplies only engineering design services, in particular, mechanical, electrical and plumbing design services for projects in the buildings and cities, industry, and transportation sectors.

In Australia, CIGI and Ayesa overlap in the supply of engineering consultancy services. CIGI supplies both engineering design services and site supervision and project management services, in particular, civil-based engineering consultancy services for projects in the buildings and cities and water segments. While Ayesa supplies site supervision and project management services in other countries, in Australia, its engineering consultancy services are limited to engineering design services, in particular, mechanical, electrical and plumbing design services in the buildings and cities, industry, and transportation sectors.

ServiceNow, Inc. (ServiceNow) proposes to acquire Armis Security, Ltd (Armis).

ServiceNow is a US-based software company. ServiceNow primarily supplies enterprise software which brings together data, artificial intelligence (AI), company processes, assets and security into a single platform that employees can use for a range of purposes. ServiceNow’s products facilitate organisation workflows by turning fragmented operations into coordinated, autonomous workflows. These types of software products are known as ‘IT operations management’ or ITOM products. ServiceNow also supplies Operational Technology (OT) operations management (OTOM) products, which improve visibility, health, and serviceability of industrial systems in OT environments, including by enabling incident response and operational resilience. ‘OT’ describes technology that interacts directly with physical equipment like utility grids, industrial machinery or healthcare equipment. 

Armis is a US-based software company specialising in cyber exposure management and security. Armis’ products help organisations see, protect and manage all points through which an unauthorised user could access a system and extract data. Armis’ products work across cyber-physical system environments, primarily focused on OT security. Armis provides a range of security products under its Armis Centrix platform, including products for Asset Management and Security, OT/IoT (Internet of Things) Security (SaaS and On-Premise), Secure Remote Access, Medical Device Security and Early Warning. 

Both ServiceNow and Armis supply products that have:

• continuous threat exposure management (CTEM) capabilities for IT environments, and

• OT security solution capabilities. 

CVS Vets (Australia) Pty Ltd, a wholly owned subsidiary of CVS (Australia) Holdings Pty Ltd which is part of CVS Group Plc (together, CVS Group) proposes to acquire 100% of the shares of Pittwater Animal Hospital, a small animal veterinary practice in Warriewood in Sydney's Northern Beaches region (the Acquisition). 

CVS Group is an integrated veterinary services provider based in the United Kingdom, and listed on the London Stock Exchange. In Australia, CVS Group owns a number of veterinary practices in Queensland, New South Wales, the Australian Capital Territory, Victoria, South Australia and Western Australia. CVS Group owns a number of veterinary practices in metropolitan Sydney, including holding a majority interest in Sydney Animal Hospitals (SAH). SAH operates two clinics in the Northern Beaches region, SAH Newport and SAH Avalon. 

CVS Group and Pittwater Animal Hospital both supply small animal veterinary services in the Northern Beaches region on the fringes of metropolitan Sydney. Small animal veterinary practices attend to small animals (such as cats, dogs, guinea pigs, birds, rabbits and other pets), rather than larger animals such as cattle, sheep and horses, and offer services such as consultation, general and preventative health care/advice, surgery, microchipping, dentistry, radiology, pathology, pharmacy and related services such as puppy school. 

There are no vertical overlaps between the parties.

General Dental Holdings Pty Ltd, trading as Impression Dental Group (IDG), proposes to acquire 100% of the assets of the dental practice known as Happy Rock Dental (Happy Rock Dental Practice), through a business sale agreement.

Happy Rock Dental Practice is owned and operated by Dr Wei-Jie Jiang and Wei-Jie Jiang Pty Ltd and supplies general dental services to the public from its premises in Cronulla, NSW.

IDG is an Australian-based dental support organisation that provides centralised support in areas including recruitment, payroll, marketing, IT, finance, and operations, to enable dental practitioners to focus on providing dental services. IDG currently owns and supports 22 independently branded dental practices in Australia which provide dental services to the public. IDG does not have a premises in Cronulla, NSW.

IDG is controlled by Genesis Capital which is an Australian-based private equity firm that invests in businesses operating in the healthcare sector.

Genesis Capital’s investments also include Pacific Smiles Group which sets up new dental centres from which dentists run their practice and provides operational support. Pacific Smiles Group has over 120 dental centres across Australia, including one in the Sutherland Shire which is not in Cronulla, NSW. Pacific Smiles Group’s dental centres are mainly located in shopping centres and operate under the Pacific Smiles Dental and NIB Dental Care brands on the East Coast and under the HBF brand in Western Australia.

BetterGrow Holdings Pty Ltd (Bettergrow) proposes to acquire 100% of the shares in Hygain Holdco Pty Ltd (HYG). 

Bettergrow is an Australian-based company in the organic recovery sector. It recovers and re-manufactures organic residuals, waste and by-products, extracting maximum value from materials otherwise destined for landfill, transforming them into quality composts, fertilisers and bespoke soil rehabilitation products for resale. Bettergrow also produces pasture, fodder and beef. It also supplies animal bedding sourced from timber mills.

Bettergrow is part of the Borg Group, a diversified Australian-owned private group of companies and brands involved in the manufacture of building materials, waste recycling operations, forestry, packaging, and engineering and automation services. 

HYG is an equine‑nutrition company that formulates and manufactures premium horse feeds and supplements. HYG (through its two brands, Hygain and Mitavite) supplies products to performance, breeding and leisure horse owners through agricultural and equine supplies retailers and wholesalers and distributors in Australia, and globally. HYG operates a manufacturing facility in Victoria and in New South Wales. HYG’s products include manufactured feeds (including pelleted and textured complete feeds and balancers), supplements and additives (including vitamins and minerals, electrolytes, digestive and hoof health products, oil/fat sources and speciality supplements). HYG also offers complimentary nutritional support services for its supplements and commercial feed products. 

HYG is controlled by funds under the management of Adamantem Capital, an Australia and New Zealand private equity firm, based in Sydney.

Spike Media Pty Ltd, a newly-formed entity under the control of Arthur Laundy, proposes to acquire 100% of the shares in Nine Radio Pty Limited (Nine Radio) from Fairfax Media Limited, a wholly-owned subsidiary of Nine Entertainment Co. Holdings Limited. 

Arthur Laundy currently controls the Laundy Group, which operates over 40 hospitality venues throughout New South Wales through Laundy Hotels Pty Ltd and invests in Australian assets, including in commercial property, sports, tourism, hospitality, events and accommodation.

Nine Radio is an Australian broadcaster engaged in commercial radio broadcasting through its radio stations in Sydney (2GB and 2UE), Melbourne (3AW and Magic 1278), Brisbane (4BC and 4BH), and Perth (6PR). Nine Radio also offers these radio stations through linear radio broadcast live streaming distributed via Nine Radio websites and apps, in addition to on-demand catch-up podcasts and other original podcasts.

Lecta Limited and Lecta Paper Industries Intermediate Financing S.à r.l. have agreed with certain creditors of the Lecta Group to restructure the group’s financial indebtedness. As part of that restructure, funds managed by subsidiaries of Apollo Global Management (together with its indirect subsidiaries managing the investment funds, Apollo) will indirectly acquire sole control over Lecta Paper Industries Intermediate Financing S.à r.l. (together with its subsidiaries, Lecta) by way of a debt-to-equity swap (the Acquisition).

The Acquisition will be effected by a new holding company, Reed Bidco Limited (BidCo), acquiring all of the common equity in Lecta and issuing new equity to the funds managed by Apollo, among other creditors of Lecta.

Apollo is a high-growth global alternative asset manager headquartered in New York City, New York. Apollo offers investment management and financial planning services to individuals and institutional investors.

Lecta is a manufacturer and supplier of specialty papers for labels, flexible packaging and other high value-added print segments, as well as coated and uncoated paper for publishing. Lecta has its main operating offices in Barcelona, Spain and operates several production facilities in Europe, including manufacturing facilities producing pulp, base paper, specialty papers, self-adhesive papers and coated woodfree paper, with seven mills across Spain, France and Italy and a self-adhesive converting centre in Germany.

Freudenberg Home and Cleaning Solutions GmbH (Freudenberg) proposes to acquire 100% of share capital in Nilfisk Holding A/S (Nilfisk).

Freudenberg supplies manual cleaning tools and other cleaning products in Australia. Freudenberg’s brands include Vileda and Oates and Ansell (which is used under licence). Its products include mops and floorcare, brooms, brushware, cloths and wipes, dusters, cleaning carts and trolleys, waste management, window cleaning equipment, spray bottles, durable gloves, and various cleaning chemicals. 

Freudenberg is a wholly-owned subsidiary of Freudenberg & Co. KG, which is headquartered in Germany.

Nilfisk supplies professional cleaning machines in Australia including floorcare machines, vacuum cleaners, pressure washers, related accessories, consumables, machine repair and maintenance services. Nilfisk also has businesses in IVS (industrial vacuum systems) and the food industry (cleaning equipment for the food industry). 

Nilfisk is the holding company of the Nilfisk group of companies (the Nilfisk Group). The Nilfisk Group is a global original equipment manufacturer for these cleaning machines.

Bain Capital Investors, LLC (Bain Capital) proposes to indirectly acquire 100% of the shares in MCJ Co., Ltd. (MCJ) through a newly created special purpose vehicle, BCPE Meta Cayman, L.P.

Bain Capital is a limited liability company organised in Delaware under United States law and is the ultimate general partner of numerous private equity funds. Bain Capital, through such funds, invests in companies with activities in various industries, including technology, media and telecommunications, healthcare, retail and consumer products, financial and business services, and industrial/manufacturing.

MCJ is listed on the Tokyo Stock Exchange. MCJ is an integrated Information and Communications Technology business that operates predominantly through its group companies that are primarily active in Japan. In Australia, the only services that MCJ supplies are IT product repair and support services through its brand R-Logic.  

AVC Operations Pty Limited (AVC), a subsidiary of Australian Venue Co. Holdings Limited, proposes to acquire substantially all of the assets (including the exclusive right to carry on the businesses in succession of the vendors) of four venues in NSW pursuant to two interdependent transactions: (a) Three Asset Sale Agreement: acquiring Public House Petersham, The Erko, and The Golden Sheaf; and (b) Barangaroo Asset Sale Agreement: acquiring Barangaroo House. 

AVC operates licensed venues throughout Australia and New Zealand, primarily pubs, as well as bars, clubs and licensed restaurants. AVC's venues are individually branded and are predominantly located in inner-city and metropolitan areas, offering a range of products and services including food, alcoholic and non-alcoholic beverages, function rooms, live entertainment and gaming facilities. 

The four venues are: Public House Petersham: pub in Petersham; The Erko (Erskineville Hotel): hotel in Erskineville with food and accommodation; The Golden Sheaf: pub and late-night venue in Double Bay; and Barangaroo House: three-level dining venue in Barangaroo. Public House Petersham, The Erko, and The Golden Sheaf are owned by Solotel Group entities, which operates 27 licensed venues across Sydney, Parramatta, and Brisbane. Barangaroo House is co-owned by Solotel Group and Matt Moran. 

Parker-Hannifin Corporation (Parker-Hannifin) proposes to acquire 100% of the share capital in Filtration Group Corporation (Filtration Group). Parker-Hannifin is a global engineering company headquartered in Cleveland, Ohio, USA. It designs, manufactures and supplies motion and control technologies and systems to a variety of industries, including aerospace and defence, transportation, energy, and HVAC (heating, ventilation and air conditioning) and refrigeration. Filtration Group is a global filtration and separation technology company headquartered in Illinois, USA. Filtration Group’s core business is the design, manufacture and supply of filtration and separation products for life sciences, indoor air quality and industrial applications. Parker-Hannifin and Filtration Group both supply filtration products for use in industrial applications in Australia.
