OEP IX Master Coöperatief U.A. (OEP IX) will acquire from certain wholly owned subsidiaries of CRH PLC shares representing 100% of the total voting rights of the Leviat Group (Leviat), pursuant to a share purchase agreement.

OEP IX is a financial holding company forming part of One Equity Partners Fund Complex IX that is managed and advised by OEP Group. The OEP Group focuses on investments in industrial, healthcare and technology sector businesses across North America and Europe.

Leviat is a global design and manufacturing business specialising in high‑performance, engineered construction accessories used to lift, connect, anchor, reinforce, and insulate building and infrastructure projects. In Australia, the Leviat Group through its Australian subsidiary supplies anchoring and connecting products, reinforcement and formwork products, masonry support products and lifting products. Leviat is ultimately owned and currently controlled by CRH PLC.

IOR Pty Ltd proposes to acquire the business assets of Delta Specialised Energy Pty Ltd in respect of its diesel, AdBlue and renewable fuels distribution businesses (including the associated plant and equipment and intellectual property).

IOR Pty Ltd (IOR), trading as IOR Petroleum, is an Australian-based supplier of fuel and integrated fuel solutions across Australia. Delta Specialised Energy Pty Ltd (Delta), is an Australian-based distributor of diesel, AdBlue and renewable fuels. 

Both IOR and Delta supply diesel and AdBlue to industrial and commercial businesses in NSW. IOR will acquire 100% of the business assets of Delta in respect of its diesel, AdBlue and renewable fuels distribution businesses (including the associated plant and equipment and intellectual property) through a business sale agreement.

Pursuant to an Equity Purchase Agreement between SW Soccer Corp Holdings LLC (SW Soccer Corp, the target), SW Soccer HoldCo LLC (the seller), BSN Sports, LLC (BSN Sports, the acquirer), and Varsity Brands, Inc (Varsity Brands, the acquirer’s parent company), BSN Sports intends to acquire 100% of the equity interests in SW Soccer Corp, subject to the rollover by certain direct or indirect holders of equity interests of the seller.

SW Soccer Corp’s operating business is Sports Endeavors (collectively, Sports Endeavors). Sports Endeavors is based in the United States. Sports Endeavors primarily serves youth club teams in soccer and soccer retail customers in the United States. 

BSN Sports is a subsidiary and operating division of Varsity Brands, and is based in the United States. Varsity Brands is a portfolio company indirectly majority owned by investment funds, vehicles and/or accounts advised and managed by KKR & Co. Inc. (together with its affiliated entities, KKR).

Sports Endeavors and BSN Sports are active in the supply of sporting apparel and equipment.

North American Construction Group Limited (NACG), via NACG WA Acquisition Pty Ltd, proposes to acquire 100% of the shares in DCL Corp Pty Ltd, trading as Iron Mining Contracting, and Iron Hire Pty Ltd (the Targets) through a share purchase agreement.

NACG is a Canadian supplier of mining and heavy civil construction services to customers in the resource development, industrial construction and infrastructure sectors in Canada, the US, and Australia. Through its Australian subsidiaries, NACG supplies:

• heavy equipment rental services to mine operators with operators (wet hire) and without operators (dry hire) in New South Wales and Queensland;

• dry hire heavy equipment rentals in Western Australia;

• mining services to its heavy equipment rental customers in New South Wales and Queensland; and

• recycled and refurbished mining and construction equipment across Australia and worldwide.

The Targets supply mining services and civil construction services in Western Australia.

The parties both supply mining and civil construction services for large (Tier 1) and medium (Tier 2) scale mining projects. 

CTC Precast Pty Ltd (Civilmart) proposes to acquire 100% of the issued share capital in Taylex Group Holding Co Pty Ltd (Taylex) (the Acquisition).

Civilmart is a manufacturer and supplier of precast concrete products which are used in civil construction, plumbing, sewerage, stormwater, drainage, and electrical and communications infrastructure. 

Civilmart is owned by CRH Infrastructure Products Australia Pty Ltd (IPA), which in turn is owned by CRH plc (CRH). CRH is a global supplier of building materials and infrastructure products which operates in Australia through IPA and Civilmart. CRH also, through CRH ANZ Pty Ltd, holds a 57.3% shareholding in Adbri Limited. 

Taylex is a privately owned Australian company that, through its wholly owned subsidiaries, manufactures and supplies active wastewater treatment systems (AWTS), septic tanks, rainwater tanks and associated products to customers across Australia.

The parties both supply:

• concrete AWTS and associated products in NSW, QLD and VIC; 

• concrete septic tanks and associated products in NSW, QLD and VIC; and 

• concrete rainwater tanks in south-east QLD and northern NSW.

The acquisition will involve a deleveraging through a debt-to-equity swap resulting in Segula’s creditors, Eiffel Investment Group SAS (Eiffel) and Eurazeo SE (Eurazeo), acquiring joint control of Segula Holding SAS (Segula).

The acquisition is part of a financial restructuring aimed at saving Segula from judicial liquidation. It will be carried out under the supervision of the Nanterre Commercial Court (accelerated safeguard procedure) in France and result in Eiffel and Eurazeo each holding 50% of the voting rights in Segula.

Eiffel is an asset management company ultimately and exclusively controlled by Impala SAS (Impala). Impala is a French private diversified investment company, active in France and internationally in asset management and corporate finance, as well as in the energy and finance sectors.

Eurazeo is a French listed global investment group active in private equity, private debt and real assets.

Segula is a global engineering and technology consulting group providing technical services and innovation solutions primarily for the automotive, aerospace, energy, rail and marine sectors. Segula’s activities in Australia are currently limited to the provision of professional engineering services to primarily the automotive and rail sectors.

Eli Lilly and Company (Eli Lilly) proposes to acquire 100% of the issued shares in Orna Therapeutics Holdings, LLC (Orna Therapeutics) pursuant to an Agreement and Plan of Merger.

Eli Lilly is a US-based pharmaceutical company, which discovers, develops, manufactures and markets human pharmaceutical products for various therapeutic areas, including diabetes, oncology, immunology and neuroscience. Eli Lilly is headquartered in Indianapolis, US and is publicly listed on the New York Stock Exchange. 

Orna Therapeutics is a US-based pre-clinical biotechnology company developing a new class of engineered circular RNA (oRNA) therapeutics and immune tropic lipid nanoparticles (LNP) delivery technologies for the treatment of autoimmune disorders, and cancer conditions. Orna Therapeutics has a pipeline of pre-clinical in vivo Chimeric Antigen Receptor T-cell (CAR-T) therapies designed to treat B cell-driven autoimmune diseases. 

Zendesk, Inc. (Zendesk) proposes to acquire 100% of the business of Forethought Technologies, Inc. (Forethought) through a reverse triangular merger whereby Forethought will acquire 100% of the issued shares in a subsidiary of Zendesk which has been newly incorporated for the purpose of the merger. Through this process, Forethought will become a wholly owned subsidiary of Zendesk.

Zendesk is a US-based software company providing software-as-a-service customer relationship management (CRM) software designed to improve customer relationships. 

Zendesk is owned by affiliates of Permira Holdings Limited (Permira) and affiliates of Hellman & Friedman LLC (H&F). 

Permira is a Guernsey-registered private equity business engaged, through its subsidiaries and affiliates, in the provision of investment management services to a number of investment funds. Permira ultimately controls a number of private equity funds, which include portfolio companies active across the consumer, services, healthcare, technology, and climate sectors. 

H&F is a US-based private equity investment firm with a focus on the technology sector, among others. 

Permira and H&F also own Genesys, which is a contact-centre-as-a-service (CCaaS) provider which develops, manufactures and supplies software products and related services for customer interaction management.

Forethought is a US-based start-up company that markets AI-driven software tools which integrate with CRM software.

Advance Holdings II, LLC (a vehicle ultimately controlled by Platinum Equity, LLC (Platinum Equity)) proposes to acquire BCI Acquisitions, Inc. (together with its direct and indirect subsidiaries, Burke).

Burke designs, manufactures and supplies outdoor playground and recreational equipment, as well as ancillary products for recreational spaces.

Platinum Equity is a global private equity and investment strategies firm, which is specialised in the merger, acquisition and operation of companies providing services and solutions to customers in a broad range of sectors, including business services, information technology, telecommunications, logistics, metal services, manufacturing and distribution. Among such companies is Play Holdings, Inc. (together with its direct and indirect subsidiaries, PlayPower). PlayPower is a designer, manufacturer and supplier of outdoor playground equipment, sport and fitness equipment, and park and urban furniture.

Burke and PlayPower are headquartered in the US with no corporate or physical footprint in Australia.

Airtree Ventures Opportunity Fund V Trusco Pty Ltd as trustee for the Airtree Ventures Opportunity Fund V Stapled Trust (Airtree Fund) proposes to invest in Aegleon Holdco Pty Ltd (Aegleon) by way of subscription for shares, and thereby indirectly acquire a small interest in HotDoc Online Pty Ltd (HotDoc), which is a wholly-owned indirect subsidiary of Aegleon.

Airtree Fund is a venture capital fund managed by Airtree. Airtree is a venture capital firm based in Australia which predominantly invests in early-stage and high-growth Australia and New Zealand-based technology companies. Funds managed by Airtree (including the Airtree Fund) hold minority investments in over a hundred companies in Australia, New Zealand and around the world. 

Aegleon is a holding company incorporated in connection with the acquisition of HotDoc by funds managed by Potentia, an Australian private equity firm specialising in technology and software investments.

HotDoc is a digital healthcare platform enabling patient engagement, scheduling, messaging, payments, and virtual care for general practitioners across Australia. HotDoc’s platform enables patients to book and manage their healthcare appointments with healthcare professionals.

AVC Operations Pty Limited (AVC) proposes to acquire 100% of the business and assets of Ash Promotions Pty Ltd trading as An Sibin Irish Pub (An Sibin) under an asset sale agreement, dated 10 February 2026 (the Acquisition). 

AVC is a subsidiary of Australian Venue Co. Holdings Limited which operates licensed venues throughout Australia and New Zealand, primarily pubs, as well as some bars, clubs, and licensed restaurants. AVC's venues are individually branded and mostly located in inner-city and metro areas, offering food, alcoholic and non-alcoholic beverages, function rooms, live entertainment and gaming facilities. 

An Sibin is a pub located at 147 James Street, Northbridge WA 6003. It has a traditional Irish pub offering, similar to a hotel or tavern. The business and assets of An Sibin are operated by Ash Promotions Pty Ltd trading as An Sibin Irish Pub, being the Target.

Premier Fresh Australia Pty Ltd (Premier Fresh) proposes to purchase 100% of the shares in the following entities that are owned by Carmelo De Domenico and C.A. De Domenico Pty Ltd (the Vendor):

(a)        North Queensland IQF Pty Ltd, and

(b)        Double D Produce Pty Ltd

(collectively, the Domenico Group),

as well as the business, land and assets owned and operated by the Domenico Group. 

The Domenico Group and the Vendor are involved in the growing, packing and value add processing for capsicums located in Ayr, Queensland. 

Premier Fresh, through its related entities, has had a long-standing commercial relationship with the Domenico Group, with Premier Fresh historically purchasing and marketing a majority of the Domenico Group’s seasonal capsicum production under a marketing agreement. 

Premier Fresh, through its related entities known as the Premier Fresh Group, is a horticulture marketer and supply chain operator that operates across a number of fruit and vegetable supply lines.

Craig Mostyn Holdings Pty Limited (together with its subsidiaries, Craig Mostyn), via its wholly owned subsidiary Craig Mostyn Farms Pty Ltd, proposes to acquire 100% of the issued shares in Patmore Feeds Pty Ltd (Patmore Feeds) (the Acquisition).

Craig Mostyn is an Australian food and agribusiness company. Its primary activities include animal husbandry and meat processing of cattle, pigs and sheep in Western Australia. Craig Mostyn owns and operates pig farms across Western Australia and acquires pigs from third parties to produce pork at its pork abattoir and processing facility in Wooroloo, Western Australia. Craig Mostyn’s meat products are sold under the Amelia Park, Linley Valley Pork and V&V Walsh brands. Craig Mostyn’s other businesses include Talloman, Craig Mostyn Protein Trading and Jade Tiger Abalone brands.

Patmore Feeds is a Western Australia‑based producer of pelletised feed for livestock including sheep, cattle (beef and dairy), and pigs. It primarily supplies livestock producers located within Western Australia.

Craig Mostyn and Patmore Feeds both operate in the cattle, pig and sheep meat supply chain. Patmore Feeds is an existing and potential supplier of livestock feed which is used as an input in Craig Mostyn’s animal husbandry and subsequent processing operations.

Audiotonix Limited (Audiotonix) intends to acquire 100% of the shares and sole control of Soundtech Group S.r.l. (Soundtech Group) through 2 special purpose vehicles, Sound Bidco S.r.l and Sound Bidco (Denmark) ApS. Both special purpose vehicles will be 100% directly owned by A6 Audio Bidco Limited (A6 Audio), which, in turn, is 100% indirectly owned by Audiotonix. A6 Audio and Audiotonix are part of Audiotonix Group, a UK-headquartered group active in the design, engineering and manufacturing of professional audio mixing consoles, as well as associated equipment such as networking (allowing consoles to connect with other consoles), interface products (used to physically control music editing and mixing remotely from a console), software (e.g., audio processing, control software and operating systems) and spare parts. 

Audiotonix is under the sole control of PAI Partners, a private equity firm with a focus on investing in business services, food and consumer, general industrials and healthcare. 

In Australia, Audiotonix’s subsidiary Sound Devices is a wholesale supplier of wireless microphone systems. 

Soundtech Group is a supplier in the professional audio industry which is active in the design, manufacturing and application of micro-electronic mechanisms. 

Soundtech Group’s subsidiaries include DPA Microphones A/S (DPA Microphones), Austrian Audio GmbH (Austrian Audio) and Wisycom S.r.l. (Wisycom). 

In Australia, DPA Microphones and Austrian Audio are wholesale suppliers of high-end microphones, and Wisycom is a wholesale supplier of wireless microphone systems and wireless in-ear monitoring systems.  

Acquisition

This notification concerns the proposed acquisition of certain Australian assets of Konvoy Holdings Pty Limited (Receivers and Managers Appointed) (Subject to Deed of Company Arrangement) (Konvoy) by Kegstar Pty Limited (Kegstar), a wholly owned subsidiary of MicroStar Logistics, LLC (Acquisition).

The Australian assets which are proposed to be acquired pursuant to the Acquisition include: 

(a) kegs; 

(b) keg tracking technology hardware and software (known as 'Katch'); 

(c) select employees; and 

(d) a keg repair and maintenance facility.

The Parties

MicroStar Logistics, LLC, is a limited liability company incorporated in the United States and is indirectly wholly owned by MStar Holding Corporation. MicroStar entered the Australian market in 2021 via the acquisition of Kegstar from Brambles.

In Australia, Kegstar primarily offers a pay-per-fill keg management service (PPF). It also offers longer-term keg leasing.

Konvoy operates a keg services business in Australia and New Zealand. It offers short-term keg leasing (on a PPF basis), longer-term keg leasing, and keg maintenance and repair services.

Summary of horizontal and vertical overlaps

The Parties are both suppliers of PPF services and, to a much lesser extent, longer term keg leasing to brewery customers in Australia. 

There is no vertical overlap between the parties.

Russell Investment Group Pty Ltd (Russell) proposes to acquire 100 per cent of the issued and outstanding shares of Zurich Investment Management Limited (Zurich) through a share sale agreement (the Acquisition).

Russell provides investment and asset management services in Australia.

Zurich is an Australian incorporated member of the global Zurich Insurance Group. The ultimate holding company is Zurich Insurance Group Ltd (incorporated in Switzerland). Zurich provides managed fund solutions to Australian investors. The Acquisition only relates to Zurich, rather than the broader Zurich Insurance Group.

Both Russell and Zurich supply investment and asset management services in Australia, including issuing interests in Australian and global equities funds, property securities funds, fixed interest funds, diversified or multi-asset funds and cash funds to Australian investors.

Salesforce, Inc (Salesforce) proposes to acquire all of the outstanding voting securities of Qualified.com, Inc (Qualified).

Salesforce is a global supplier of customer relationship management (CRM) software and other software-as-a-service solutions that enable companies to manage and improve their relationships with customers. Salesforce’s core offerings are CRM solutions designed for the sales, service, marketing and commerce functions within a company. Salesforce, through Agentforce, also offers autonomous artificial intelligence (AI) agents that integrate across Salesforce’s services. Salesforce offers CRM and AI services to customers in Australia and abroad.

Qualified is a provider of the agentic marketing product “Piper”, which enables business-to-business (B2B) sales and marketing teams to improve customer prospecting and build a sales pipeline through AI-driven functionality. Piper is an inbound AI-based sales development representative (SDR) agent that was purpose-built to integrate with Salesforce’s CRM and uses Salesforce CRM data to deliver personalised experiences like custom greetings and targeted offers, while reporting customer engagement back into the Salesforce CRM system. Piper is Qualified’s only actively marketed product and is offered worldwide, including in Australia. 

Both Salesforce and Qualified supply conversation automation solutions for B2B uses, which integrate with Salesforce’s CRM software. Conversation automation solutions for B2B uses includes tools, such as virtual assistants, AI agents, and chatbots, that support functions such as outbound and inbound sales prospecting for lead generation, customer qualification, customer research, meeting scheduling, and personalised product recommendations.

TDR Capital LLP (TDR) and Estoril Coinvest SCSp (Estoril) propose to enter a Shareholders Agreement, pursuant to which TDR will hold a majority interest while Estoril will hold a minority interest in Escode.

TDR is a private equity firm based in the United Kingdom. Estoril is a co-investment vehicle managed by a private equity firm.

The target, Escode, is a UK headquartered business active in providing software escrow and related services. Escode primarily supplies software escrow services, whereby software code and data or other business critical information is deposited by a licensor in Escode's physical or virtual vaults, and released to the licensee where the release criteria are met. In Australia, Escode also supplies verification services.

Escode is a division of NCC Group plc (NCC), which is also based in the UK and is a supplier of cybersecurity services. NCC launched its Escode brand in Australia in 2024.

Hg Pooled Management Limited (Hg Capital) through a special purpose vehicle, Onward AcquireCo, Inc., proposes to acquire 100% of share capital in Onestream, Inc and OneStream Software LLC (together OneStream).

Hg Capital is a private equity firm focussed on investment in Europe and the US. Hg Capital’s portfolio companies include GS Topco GP LLC (insightsoftware), Prophix Software Inc (Prophix), and LucaNet Group GmbH (LucaNet). These companies provide various enterprise performance management software solutions throughout Australia for financial consolidation, budgeting, analysis, and planning and management reporting.

OneStream is a software provider offering a platform that unifies an enterprise's core financial functions and broader operation data and processes to increase the strategic impact of the Office of the CFO. OneStream's platform – the Digital Finance Cloud – provides capabilities centred on financial close and consolidation, and financial and operational planning and reporting (i.e. enterprise performance management).
