PT Asian Bulk Logistics, through its Australian subsidiary, Global Engage Marine Pty Ltd, proposes to acquire 100% of the issued share capital in Engage Marine TopCo Pty Ltd (Engage Marine). 

Engage Marine provides terminal and harbour towage including the berthing and sailing of Cape-size, Panamax, and Handy-size vessels. Engage Marine also provides ad-hoc towage emergency response solutions in salvage situations. The main industry Engage Marine operates in is marine services (towage and port services). 

PT Asian Bulk Logistics is an integrated logistics and infrastructure group supplying bulk logistics services, port services and marine services. It primarily operates in Indonesia. 

Through one of its subsidiaries, Transhipment Services Australia, PT Asian Bulk Logistics operates a port-specific towage fleet supporting transhipment and logistics operations. 

PT Asian Bulk Logistics operates two additional subsidiary companies in Australia – One Rail Australia and SCF Containers.

AZ Next Generation Advisory Pty Ltd (AZ Next Generation Advisory) proposes to acquire 100% of the shares in BMM Partners Pty Ltd, trading as Intend Financial (Intend Financial).

AZ Next Generation Advisory is an Australian professional services advisory company established in 2014 that owns approximately 48 financial planning and accounting businesses with operations and customers across Australia, including in Queensland, Victoria and Tasmania (where Intend Financial has a presence). AZ Next Generation Advisory has approximately 404 licensed financial planners across its network.

Intend Financial is a financial planning business established in 2021 that provides financial planning services from four offices, in Victoria (Mornington and Hawthorn East), Queensland (Gold Coast) and Tasmania (Launceston), to customers across Australia. Intend Financial has 10 licensed financial planners.

Infotrust Ltd (ASX:ITS) (Infotrust) proposes to acquire 100% of the shares in Catalyst Cyber.

Infotrust is an ASX-listed Australian technology services group. Its cybersecurity offering includes the supply of governance, risk and compliance (GRC) and assurance consulting, penetration testing to identify and remediate cyber vulnerabilities in networks and systems, and strategic advisory to establish cybersecurity strategies in line with applicable compliance standards, and managed information technology services. Infotrust also resells software and products for advanced security solutions in connection with its consulting engagements, as well as professional assurance and advisory services. Its cybersecurity offerings are primarily directed to commercial and enterprise customers across a range of industries.

Catalyst Cyber, trading as Catalyst Security, is a Canberra-based cybersecurity consultancy business that was established in 2024.

Catalyst Cyber is primarily focussed on the supply of cybersecurity services to Federal Government clients. Its core business comprises GRC and assurance consulting to assist government clients meet regulatory requirements and industry standards and penetration testing to advise on compliance with mandatory information management requirements. Catalyst Cyber resells to a limited degree third-party government-grade security testing software and provides professional services covering governance uplift and accreditation.

CARe Autobody Pty Ltd (CARe) proposes to acquire 100% of the issued share capital in MotorOne Autobody Pty Ltd (MotorOne Autobody) (the Acquisition).

CARe is an Australian supplier of motor vehicle collision repair services. CARe operates a total of 18 repair sites across Australia with 5 sites in Queensland, 7 sites in Victoria, 3 sites in New South Wales, 2 sites in Tasmania and 1 site in South Australia.   

MotorOne Autobody is an Australian supplier of motor vehicle collision repair services and a business division of the MotorOne Group which is an Australian supplier of motor vehicle aftercare products and services. MotorOne Autobody operates a total of 20 repair sites in Australia with 8 sites in Queensland, 11 sites in Victoria and 1 site in New South Wales.

Both CARe and MotorOne Autobody supply motor vehicle collision repair services to insurers and direct to vehicle owners without an insurance claim. 

Warrego Op Co Pty Ltd and Waymark Hotel Properties No 42 Pty Ltd, which are part of the Waymark Hotels Group, proposes to acquire the land and business of the Warrego Hotel Motel in Cunnamulla, Queensland. Waymark Hotels Group owns and operates hotels (pubs) that provide food, drink (including alcohol), gaming machines, accommodation services, and takeaway liquor retailing (bottle shops). It currently operates pubs and bottle shops in regional Queensland and the Northern Territory.

Warrego Hotel Motel is a commercial hotel motel business in Cunnamulla, QLD which offers dining, accommodation, gaming machines and liquor retailing, both in-store via a drive-through bottle shop and online.

Brisbane Airport Corporation Pty Limited (Brisbane Airport Corporation) operates, manages, and develops Brisbane Airport. Brisbane Airport Corporation facilitates international and domestic travel, manages over 2,700 hectares of land, provides infrastructure (terminals, runways, roads), and facilitates commercial/retail/industrial activities through the leasing of the airport land. 

Growthpoint Properties Australia Limited (GOZ) is an ASX-listed real estate investment trust, which carries on a business primarily engaged in leasing, buying and selling land and managing a portfolio of office, industrial and retail assets for third party wholesale syndicates and institutional investors. GOZ invests in Australian real estate and has a directly owned portfolio of office and industrial properties which it leases to commercial tenants. Growthpoint Properties Australia Limited as trustee of the Wholesale Industrial Property Fund (Growthpoint) holds a leasehold interest (as lessee) of the properties located at 3, 5 and 7A Viola Place, Brisbane Airport under the Head Leases from Brisbane Airport Corporation (as lessor). 

Brisbane Airport Corporation has entered into a Contract for the Sale and Purchase of Commercial Real Estate to acquire from Growthpoint its interest as lessee under the Head Leases and as sublessor under the Subleases for lots located at 3, 5 and 7A Viola Place, Brisbane Airport, Queensland.

Peter Warren Automotive Holdings Ltd (Peter Warren) proposes to acquire:

• 100% of the shares of Paul Wakeling Motor Group Pty Ltd;

• 100% of the shares of Wollongong City Motors Pty Ltd; and

• the business and trading net assets of Hurrikayne Pty Ltd, relating to the Moss Vale Motor Group

from Wakeling Automotive Group (Wakeling Automotive) (the Acquisition), as part of which Peter Warren will acquire 30 new and used car dealerships in New South Wales.

Peter Warren is an ASX-listed new and used car retailing business that operates over 80 automotive dealership sites at 25 locations across the east coast of Australia. Peter Warren represents 30 Original Equipment Manufacturer (OEM) vehicle brands as an authorised dealer, and also supplies OEM spare parts and aftermarket vehicle servicing.

Wakeling Automotive is a new and used car retailing business that operates 30 automotive dealership sites at 8 locations across Sydney, Wollongong and the Southern Highlands. Wakeling Automotive represents 16 OEM vehicle brands as an authorised dealer, and also supplies OEM spare parts and aftermarket vehicle servicing.

Both of Peter Warren and Wakeling Automotive supply new and used cars, OEM spare parts and aftermarket vehicle servicing in the Campbelltown/Narellan/Smeaton Grange suburbs of southern Sydney. 

MAHPT TT Pty Ltd (as trustee for Redcape Hotel Property Trust) and Redcape Hotel Group Pty Ltd (the Acquirers) propose to acquire 100% of the freehold land interest, buildings, licences and business assets (both tangible and intangible) of Hotel Brunswick from Brunswick Hotel TT Pty Ltd as trustee for Brunswick Hotel Sub-Trust and Brunswick Hotel Opco Pty Ltd (the Acquisition).

Hotel Brunswick is a community, food, beverage and entertainment venue located in Brunswick Heads, New South Wales. It also operates a bottle shop.

The Acquirers are part of MA Financial Group Limited’s (ASX:MAF) Redcape Fund, which owns and operates community pubs and hotels. The Redcape Fund portfolio currently has 34 hotels in New South Wales, Queensland and Victoria.

Vets Central Holdings Pty Ltd (together, with its subsidiaries, Vets Central), proposes to acquire 100% of the business assets (both tangible and intangible) of West Toowoomba Veterinary Surgery from Cicuration Pty Ltd as trustee for Burke Family Trust.

Vets Central is an Australian-owned veterinary group that owns and operates 80 first opinion veterinary practices across Australia and New Zealand. In Australia, Vets Central’s practices provide core and ancillary veterinary services, for household pets as well as livestock, and other exotic species. The services primarily include routine, planned, and emergency veterinary services (excluding after-hours services).

West Toowoomba Veterinary Surgery is a single full-service veterinary practice in the Toowoomba area of Queensland. The business provides a range of first opinion core and ancillary veterinary services for household pets (extending to exotic pets) in the local area.

Five V Capital Pty Ltd (Five V Capital) is an Australian-incorporated private equity and venture capital firm with headquarters in Australia and New Zealand. Five V Capital manages a number of Five V funds, including Horizons Fund and Frontier Fund. Horizons Fund and Frontier Fund are investment funds that pursue a strategy of investing in private mid-market businesses.

Five V Capital and an incorporated company that is wholly owned by Horizons Fund and Frontier Fund, Overwatch BidCo Pty Ltd, propose to acquire the majority of the issued shares in FTP Group Holdings Pty Ltd and its subsidiaries (the FTP Group) from the existing shareholders of FTP Group Holdings Pty Ltd (the Acquisition).

FTP Group is based in Australia, Canada and New Zealand and operates under the business names ‘FTP Solutions’, ‘Faarm’ and ‘Yarn Mesh’. 

FTP Solutions is a provider of integrated network and operational monitoring software to the global mining industry. Its flagship product, ‘IMS’, is a hardware agnostic software tool designed to monitor and visualise the network and operations of mine sites in real-time. IMS allows its users to quickly identify and resolve network issues that could result in operational downtime. 

The Michelin Group is a multinational tyre manufacturer and distributor headquartered in Clermont-Ferrand in the Auvergne-Rhône-Alpes region of France. The Michelin Group is the owner of UK-based Fenner PLC, which includes Fenner America, Inc. Fenner is a manufacturer of engineered products, specifically conveyor solutions and polymer products. 

Globally, the Michelin Group's activities fall into tyres, polymer composite solutions, data and AI based services for professional mobility and transport operators, and the provision of curated travel, dining and hospitality guides in printed and digital format (including the Michelin Guide). As part of the Michelin Group's polymer composite solutions, it manufactures and sells hydraulic seals that are engineered for dynamic sealing applications (i.e. the sealing between moving parts such as pistons and rods). Customers in this area are predominantly hydraulic related, with products being used in the manufacture and repair of hydraulic cylinders across a range of industries.

Flexitallic is a global manufacturer and supplier of high-performance sealing solutions that are engineered for static sealing applications (i.e. the sealing between stationary parts such as flanged pipe joints and similar joints that do not move or rotate), specifically spiral wound gaskets, flat gaskets and related materials. Flexitallic's products are used in stationary pipeline connections and joints unrelated to cylinders. Flexitallic is headquartered in Paris, France, and has a large global network.

Flexitallic established a local presence through the acquisition of Novus Sealing in 2022. In Australia, Flexitallic focuses on serving the oil and gas, mining, petrochemical, and power generation industries.

Michelin is proposing to acquire 100% of the issued shares in Flexitallic through two steps:

• First, Fenner America, Inc. will acquire 100% of the shares in FGI Acquisition Corp. from The Flexitallic Group SAS.

• Second, Compagnie Financiere Michelin SAS will acquire 100% of the shares in the The Flexitallic Group SAS from Flexitallic, S.à r.l., the parent of the The Flexitallic Group SAS.

Together, these steps will result in Michelin acquiring full ownership of the Flexitallic.

Genesis Minerals Limited (ASX: GMD) (Genesis Minerals) is an ASX-listed gold producer and explorer with gold mining operations selling gold bullion produced from its operations and processing hubs at Leonora and Laverton in Western Australia.

Magnetic Resources NL (ASX:MAU) (Magnetic Resources) is a gold explorer and developer, with activities focused on advancing the Lady Julie and Laverton district projects in Western Australia. Magnetic does not have any active mining or gold production operations.

Genesis Minerals proposes to acquire 100% of the issued shares in Magnetic Resources by way of a scheme of arrangement. 

Insurance Australia Group (IAG) proposes to acquire 100% of the issued share capital in RAC Insurance (RACI) from RACI Pty Ltd, a wholly owned subsidiary of the Royal Automobile Club of Western Australia Inc (RAC) (the Acquisition). The Acquisition does not include RAC's roadside assistance business which will continue to be operated independently by RAC.

IAG is a general insurance company operating in Australia and New Zealand. IAG provides a range of personal and commercial insurance products under various brands, including NRMA Insurance, Swann Insurance, ROLLiN’, Cylo, Lumley Special Vehicles and RACQ.

RAC is a Western Australia based member-owned organisation (and, effective from 26 June 2026, a company limited by guarantee) that provides roadside products, general insurance products, and other ancillary services to its members. RAC issues general insurance products to customers through its wholly owned subsidiary RACI under the RAC brand. IAG and RACI are both active in the manufacture and supply of personal lines general insurance, including home insurance and motor insurance products in Australia.

Duncan Holdco III LLC, a holding company that is ultimately controlled by SoftBank Group Corp. (Japan) (SoftBank), proposes to acquire 100% of the issued and outstanding shares of common stock (on a fully diluted basis) of, and voting rights in, DigitalBridge Group Inc. (DigitalBridge) (the Acquisition).

The Acquisition includes an indirect acquisition of all of DigitalBridge’s interests in each of the relevant general partner entities which manage DigitalBridge investment funds, through Duncan Holdco III LLC.

DigitalBridge is a dedicated, global-scale digital infrastructure investment firm that invests, directly and through its managed funds and their portfolio companies, in five key areas: (i) data centres; (ii) cell towers; (iii) fibre networks; (iv) small cells; and (v) edge infrastructure. DigitalBridge is headquartered in Boca Raton, Florida, United States of America with key offices in New York, Los Angeles, London, Luxembourg and Singapore. DigitalBridge is publicly listed on the New York Stock Exchange. 

Hall & McLean Pty Ltd (Hall & McLean) proposes to acquire a 100% freehold interest in commercial land comprising Lot 8 on SP296133, known as 2 Foundation Street, Wellcamp, QLD 4350 (the Property), from Vision Street Property Pty Ltd (the Vendor) (the Acquisition).

Hall & McLean is a 50:50 joint venture between Ellerslie Free Range Farms Pty Ltd (Ellerslie) and the McLean family (through Alpair Pty Ltd).

Alpair Pty Ltd, is an egg producer based on the Darling Downs in Queensland

Ellerslie is an agribusiness entity operating principally in the chicken egg production sector.

Ellerslie is 60% owned by PSP Investments, with the remaining 40% held by DHP Consolidated Pty Ltd on behalf of the Hall family.

Ellerslie and Alpair Pty Ltd each have a 50% interest in Sunny Queen, an egg distributer.

The Property is located ~13km outside of Toowoomba in Queensland and currently used by Ellerslie as an egg grading and cold storage site.

Ellerslie has been renting the Property from the Vendor under a 5-year lease for the purposes of egg grading and cold storage for its egg production business. Prior to Ellerslie entering into that lease, the Property was vacant for a period of approximately 5 years.

Following completion of the Acquisition, Ellerslie will continue to use the Property for egg grading and cold storage, albeit as owner rather than lessee.

NDC HoldCo Pty Ltd (together with its subsidiaries, National Dental Care), through its wholly-owned subsidiary, NDC Australia Pty Limited, proposes to acquire from Tan Dental Pty Ltd 100% of the business assets comprising the DDTA Dental clinic (DDTA Dental).

National Dental Care is a dental services organisation that operates a network of dental clinics that provide a range of general dentistry services. National Dental Care has dental clinics in all Australian states and territories except Tasmania.

DDTA Dental is a single dental clinic located in Launceston, Tasmania that provides a range of general dentistry services.

Tetra Tech Australia Group Holdings Pty Ltd (Tetra Tech) proposes to acquire 100% of the shares in Providence Consulting Group Pty Ltd (Providence Consulting) through a Share Purchase Agreement.

Tetra Tech is a wholly owned subsidiary of Tetra Tech, Inc., a publicly listed corporation (NASDAQ:TTEK), and is the holding company for various subsidiaries.

Tetra Tech's subsidiaries are involved in a variety of industries, in particular water, energy, infrastructure, mining, defence and development, and provide high-end consulting, technical and advisory services in Australia to a variety of customers, both public and private. Tetra Tech also has operations and interests across the Asia-Pacific region.

Providence Consulting is an advisory and project management consultancy based in Australia. Providence Consulting supplies program delivery, systems engineering, and protective security consultancy services for defence, government, and industry clients.

Autosports Group Limited (ASX: ASG) (ASG) proposes to acquire 100% of the Solitaire Automotive Group business from vendors Toja Investments Pty Ltd as trustee for the Bill Holst Family Trust and David Smoker (the Acquisition).

The Acquisition will occur through ASG acquiring 100% interests in the following Solitaire Automotive Group entities:

• Cambridge Motors Pty Ltd, which is the entity owned by David Smoker and holds shares in Russleigh Pty Ltd (Russleigh) and units in the Russleigh Unit Trust,

• Russleigh, which is the trustee of the Russleigh Unit Trust, which operates the Solitaire Automotive Group business, and

• the Russleigh Unit Trust.

ASG operates a total of 81 motor vehicle dealerships, 4 used vehicle dealerships, 6 motorcycle dealerships and 8 motor vehicle collision repair facilities located in Sydney, Canberra, Melbourne, Brisbane, Gold Coast and Auckland. The brands of vehicles sold across these dealerships include ALPINA, Aston Martin, Audi, Bentley, BMW, Geely, Kia, Lamborghini, Jaguar Land Rover, Maserati, Mclaren, Mercedes-Benz, MINI, Polestar, Porsche, Rolls-Royce, Subaru, Volkswagen, Volvo and Zeekr.

Solitaire Automotive Group operates 12 motor vehicle dealerships, 2 used vehicle dealerships and 1 motorcycle dealership located in Adelaide. The brands of vehicles sold across these dealerships include Aston Martin, Audi, Cupra, Ducati, Jaguar Land Rover, Maserati, Polestar, Volkswagen, Volkswagen Commercial, Volvo and Zeekr.

Aluminium Specialties Group Pty Ltd (Aluminium Specialities Group) has entered into agreements for lease of manufacturing premises owned by Atilol Holdings Pty Ltd (Atilol), located on two lots in the same parcel of land in the Alspec Industrial Business Park in 221–227 Luddenham Road, Orchard Hills NSW.

Aluminium Specialities Group manufactures and extrudes aluminium systems supplies such as door and window frames through a related entity known as Alspec.

Atilol owns and leases non-residential property. Atilol is constructing the manufacturing premises in consultation with Aluminium Specialities Group.

Resonetics, LLC (Resonetics) proposes to acquire:

(i) 100% of the issued and outstanding voting securities of Arcline Resolution Blocker, Inc. (Blocker), which owns minority non-corporate interests of Resolution Medical MidCo, LLC (Resolution Medical) and 

(ii) the remaining non-corporate interests of Resolution Medical. 

Resolution Medical is a provider of integrated design and manufacturing solutions for the full lifecycle of complex medical devices. Resolution Medical is headquartered in Fridley, Minnesota, USA with additional operations in the Netherlands, and is currently owned by Arcline Investment Management, LP.

Resonetics is a high technology manufacturer, supplying product and manufacturing services primarily to the medical device industry for medical device components, beginning at the prototyping phase through to contract manufacturing. Resonetics also designs and manufactures customized laser-based manufacturing and scientific equipment, and provides design and development services to life science companies.

Resonetics is jointly controlled by CP Granite Holdings, L.P., an affiliate of The Carlyle Group Inc. (Carlyle), and GTCR (Regatta Investors) LP and Regatta Medical Holdings, LLC, affiliates of GTCR LLC (GTCR).
