Market definition
The ACCC considered the proposed acquisition within the context of the following markets:
- the national market for the supply of thin-walled plastic food containers up to approximately 5L in capacity manufactured using injection moulding (IM food container market); and
- the national market for the supply of thin-walled plastic food containers manufactured using extrusion & thermoforming (E&T food container market).
For the purposes of the competition analysis, the ACCC did not consider it necessary to form a definitive view regarding market definition.
Competition analysis
The ACCC formed the view that the proposed acquisition was unlikely to substantially lessen competition in the relevant markets. Factors informing this view included:
- in the IM food container market, there would remain two significant alternative suppliers as well as a number of smaller suppliers. Potential sponsorship of smaller players by large dairy companies and imports would also likely provide some competitive constraint; and
- in the E&T food container market, the proposed acquisition would not remove a close competitor to Pact Group. There would remain a significant alternative supplier as well as the potential for sponsorship of a number of smaller suppliers by large dairy companies. Also, manufacturers of IM food containers would be likely to provide some competitive constraint.
The ACCC considered the proposed acquisition unlikely to raise conglomerate merger concerns.
