Market definition
The ACCC did not need to conclusively define the markets for this matter as its decision would have been the same irrespective of the precise market definitions adopted. However, to facilitate its analysis, the following markets were considered:
- State markets for pari mutuel betting by State totalisators;
- State markets for fixed odds race betting by State totalisators and bookmakers;
- State markets for fixed odds sports betting by State totalisators and bookmakers;
- State markets for gaming including EGMs, lotteries and network games;
- State markets gaming machine monitoring and maintenace services;
- State markets for gaming machine management information systems;
- State markets for gaming machine jackpot systems; and
- State markets for gaming machine player loyalty systems.
Competition analysis
There is no overlap of the business activities of Tattersall's and UNiTAB. As such, the proposed merger will not affect market concentration in any relevant market.
A number of the gambling markets in which the parties operate are characterised by the issuing of exclusive licences, meaning that competitors compete for the market rather than in the market. It is possible that Tattersall's and UNiTAB, from time to time, compete against each other for these exclusive licences. However, the information available to the Commission suggested that there are several alternative parties that are also likely to compete for such licences.
Consequently, the ACCC considers that the proposed merger is unlikely to result in a substantial lessening of competition in any relevant market.
