Market definition
The ACCC considered the proposed acquisition in the context of the market for the supply of fuel terminal services in Port Adelaide, which involved the services of fuel storage, loading (by ship) and unloading (by truck). The ACCC had regard to the fact that the supply of fuel terminal services in Port Adelaide was an important input for the wholesale supply of refined petroleum products in much of South Australia.
Competition analysis
The ACCC formed the view that the proposed acquisition was not likely to substantially lessen competition in any market.
Factors informing this conclusion included:
- the significant increase in fuel storage capacity in the Port Adelaide market relative to the status quo as a result of the proposed acquisition;
- in the absence of the proposed acquisition, it did not appear likely that any alternative party would underwrite construction of a new fuel storage terminal in Port Adelaide;
- the availability of alternative land at the Outer Harbour in Port Adelaide suitable for construction of an additional fuel storage terminal in the future; and
- the potential for third parties to undertake fuel storage developments on part of the site if it remains undeveloped after Caltex's five year exclusivity period ends.
